Overview
This role is for a Senior Corporate Paralegal responsible for corporate, equity, and entity operations as the organization grows. You will serve as the go-to person for equity administration, subsidiary management, board and corporate records, and the company’s insurance program. You will also support employment legal work and take on special projects wherever the business needs you.
Your work will impact Finance, Tax, People, and the executive team. Employees will come to you directly with questions about their equity, and you will help implement—and further develop—responses and corporate practices moving forward.
Responsibilities
Equity Administration
- Act as the primary responsible individual for day-to-day equity administration in Carta, serving as a key stakeholder with Finance and People teams.
- Maintain accurate, audit-ready records for the cap table, equity plans, and all equity documentation.
- Manage the full equity lifecycle, including grant preparation and board approvals, award agreements, exercises, vesting, terminations, cancellations, and post-termination exercise tracking.
- Partner with People, Finance, and Tax on equity matters, including grants, 409A valuation coordination, equity expense reporting, compliance, blue sky filings, equity reporting and disclosures, tax reporting and withholding, and year-end equity filings.
- Serve as the first point of contact for employee equity questions; write clear, accurate, and approachable employee communications.
- Support equity-related work for acquisitions and other corporate transactions, including assumed or converted awards and cap table integration.
- Keep equity-related policies, processes, and templates current; build documentation that scales as the organization grows.
Subsidiary and Entity Management
- Own documentation and compliance for all domestic and international subsidiaries, including formations, annual filings, good standing, foreign qualifications, registered agents, director and officer changes, and dissolutions.
- Maintain an accurate, centralized entity management system and organizational chart.
- Support entity integration for acquired businesses in collaboration with Finance, Tax, and outside counsel.
- Coordinate with local counsel and service providers on international entity requirements.
Board and Corporate Governance
- Draft board and stockholder consents, resolutions, and minutes for the parent entity and its subsidiaries.
- Help prepare board meetings, including materials, logistics, and follow-up on approvals and action items.
- Maintain complete, organized corporate records and minute books; ensure records are ready for financings, audits, diligence, and other corporate events.
- Support corporate transactions, financings, and diligence requests, including building and maintaining data rooms.
Insurance
- Manage the company’s insurance program end to end with the broker and Finance, including renewals, coverage reviews, applications, and policy documentation.
- Maintain an up-to-date inventory of policies, coverage limits, and renewal dates.
- Issue certificates of insurance and respond to customer and vendor insurance requirements.
- Coordinate notices of circumstances and claims with the broker and carriers.
Employment Law Support
- Support the Legal and People teams on employment matters, including policy and handbook updates, separation and settlement documentation, leave and accommodation questions, and multi-state and international employment compliance.
- Track employment law developments that may affect a distributed workforce and flag them to the Legal team.
- Assist with employment-related documentation, research, and record-keeping.
Special Projects and Continuous Improvement
- Take on special projects across the Legal team and the broader business.
- Proactively identify gaps, inefficiencies, and manual processes; design and build improved solutions.
- Use AI tools to speed up drafting, research, record-keeping, and recurring workflows; build reusable AI-enabled processes to increase leverage for the Legal team.

- Accuracy and audit-readiness of the cap table, equity records, and corporate records, with minimal corrections or follow-up requests from auditors, investors, or counterparties.
- Timely, accurate execution of equity transactions and board approvals, including grant turnaround time.
- Quality, clarity, and responsiveness of employee-facing equity communications.
- Complete, current subsidiary compliance with no missed filings or lapses in good standing.
- Timely insurance renewals and fast turnaround on certificates and customer insurance requests.
- Measurable improvements to legal operations through process redesign, automation, and AI-enabled workflows.
- Trusted, effective partnerships with People, Finance, Tax, and the broader Legal team.
Requirements
- 6+ years of corporate paralegal experience, including meaningful time in-house at a venture-backed or high-growth technology company or at a law firm supporting emerging-growth companies.
- Extensive, hands-on experience administering equity in Carta, including grants, exercises, terminations, and cap table maintenance.
- Solid working knowledge of equity compensation, including stock option plans, ISOs and NSOs, RSUs, 409A valuations, and related tax and securities considerations.
- Experience drafting board and stockholder consents and maintaining corporate records for multiple entities.
- Experience managing subsidiary compliance, including international entities.
- Exceptional attention to detail and a track record of producing accurate work under tight deadlines.
- Strong written communication skills and comfort working directly with employees at all levels on sensitive topics such as equity and compensation.
- Self-starter mindset: work independently, spot areas for improvement, and get to work without being asked.
- Positive, team-first attitude and willingness to take on any task, big or small.
- Experience using AI tools in day-to-day work, or strong interest in adopting them.
- Paralegal certificate and/or bachelor’s degree preferred.
Preferred Qualifications
- Experience administering equity through M&A, including assumed awards, rollover equity, or cap table integration for acquired companies.
- Experience supporting tender offers, secondary transactions, or financing rounds.
- Experience managing corporate insurance programs, including D&O, E&O/cyber, and other commercial lines.
- Employment law support experience in a distributed, multi-state, or global workforce.
- Experience implementing or improving entity management systems, equity workflows, or other legal operations processes.
- Experience building AI-enabled workflows, prompts, or tools that measurably increased your own or your team’s capacity.
- Experience working in a fast-paced startup environment.
- Experience at an open-source, AI, or data science company.
Compensation & Benefits
- Base salary range (US-based team members): $100,000 - $150,000, plus annual bonus potential, equity participation, and benefits.
