Overview

A Legal, Compliance, and Corporate Affairs (LCCA) team is seeking a highly motivated Corporate Paralegal to assist with corporate governance and transactional matters in a fast-paced, high-energy environment. This role involves handling important and complex legal tasks, collaborating across teams, and independently initiating legal work under attorney supervision. The paralegal will work closely with key leaders to prepare, organize, and maintain corporate documents and develop efficient legal and compliance processes while balancing legal and business needs and risks.

Responsibilities

  • Support a range of corporate legal matters, reporting to the VP & Deputy General Counsel.
  • Work closely with the Chief Legal Officer and Corporate Secretary on corporate governance matters.
  • Prepare and organize materials for Board and Committee meetings.
  • Manage preparation and maintenance of corporate documents, including legal entity management for all corporate affiliates.
  • Administer legal file management, processing new and existing files for effective documentation and organization.
  • Collaborate with in-house and outside counsel, including monitoring outside counsel spend and billing.
  • Assist with corporate transactions such as mergers & acquisitions, financing, and other strategic transactions, including due diligence management.
  • Facilitate execution and management of legal documents including executive compensation documents, non-disclosure agreements (NDAs), letters of intent (LOIs), and other corporate agreements.
  • Help manage the enterprise risk management program, including annual insurance policy renewals and claim submissions.
  • Support the VP & Deputy General Counsel and other LCCA members on litigation, human resources, and corporate development matters as needed.
  • Contribute diverse thoughts and ideas to foster innovation and cross-functional collaboration.

Required Qualifications

  • Minimum 5 years of experience as a corporate paralegal, with at least 3 years in-house.
  • Experience preparing and maintaining corporate documents in an in-house corporate environment.
  • Familiarity with mergers & acquisitions and/or strategic corporate transactions, including due diligence support.
  • Proficiency with Microsoft Office Suite and Adobe.
  • Ability to manage and prioritize multiple projects and clients simultaneously.
  • Effective written and verbal communication skills at all business levels, including senior management.
  • Adaptability to address a variety of questions and concerns.
  • Hardworking, high integrity, well-organized, self-motivated team player capable of working independently and managing complex business and legal processes under deadlines.
  • Excellent interpersonal, communication, and presentation skills.
  • Bachelor’s degree or paralegal certificate.

Preferred Qualifications

  • Prior law firm experience.
  • Litigation experience, including managing legal hold processes and responding to subpoenas.
  • Experience with public and/or private equity-backed corporations.
  • Understanding of healthcare and/or technology transactions and SaaS product delivery.
  • Interest and proficiency in using AI tools.
  • Experience supporting corporate governance for India-based entities.

Compensation & Benefits

  • Salary range: $102,000 - $136,000 annually.
  • Actual salary will vary based on qualifications, skills, competencies, and proficiency.
