Overview
A leading organization in the Information Technology sector is seeking a Senior Counsel, Corporate to join their legal team remotely. This role involves supporting high-impact initiatives that directly influence business performance and team success. The position requires collaboration across multiple functions to advance priorities, solve complex challenges, and deliver measurable results. It offers the opportunity to shape both strategic direction and day-to-day legal execution in a dynamic environment.
Location: Remote (U.S. based candidates only; no visa sponsorship available)
Compensation: $160,000 – $230,000 annually
Responsibilities
- Lead compensation and equity-related legal workstreams for mergers and acquisitions (M&A) transactions
- Provide advice on compensation disclosures and corporate governance matters
- Manage the company’s equity plans and performance award agreements
- Prepare and file registration statements on Form S-8
- Advise on insider trading compliance and conduct plan reviews
- Act as the legal contact for the company’s stock administration
- Assist with compensation design and compliance issues
Requirements
- Juris Doctor (J.D.) degree and bar admission
- 7-10 years of relevant experience at a law firm or in-house legal department of a public company
- Deep expertise in executive compensation, equity programs, and compliance
- Experience handling complex cross-border M&A transactions
- Collaborative mindset with a strong work ethic
- Excellent interpersonal and organizational skills to manage projects in a fast-paced environment
- Strong judgment to balance legal risks with business objectives
- Exceptional communication skills for engaging with diverse stakeholders
Preferred Qualifications
- Expertise in executive compensation and equity-related legal matters
- Knowledge of M&A transactions and Hart-Scott-Rodino (HSR) Act filings
- Understanding of global equity programs to manage international aspects of equity compensation in M&A
- Familiarity with compliance regulations related to proxy statements
- Proficiency with stock administration tools
