Overview

The Commercial Legal Team negotiates inbound and supplier agreements for the organization. This Senior Commercial Counsel role focuses on negotiating complex SaaS, AI, and cloud infrastructure agreements and supporting the organization’s cloud strategy across multiple platforms.

This position manages workloads and relationships with cross-functional partners, including Engineering, Security, Privacy, Finance, Procurement, and IT, and supports efficient scaling of technology and infrastructure partnerships.

Responsibilities

  • Autonomously negotiate a high volume of complex SaaS, AI, compute infrastructure, data processing, professional services, and other commercial transactions in a fast-paced environment.
  • Lead legal support for enterprise-level cloud negotiations with AWS and other cloud service providers, including advising on:
    • pricing structures
    • committed spend models
    • service descriptions
    • renewal terms
    • service levels
    • support
    • audit rights
    • termination and exit provisions
  • Counsel the business on risks related to transactions using expertise in data security, data privacy, AI, intellectual property, and general commercial concerns; propose practical risk-mitigation solutions in supplier agreements.
  • Partner closely with Engineering, Finance, Procurement, Security, and Privacy teams to support cloud needs forecasting, budget alignment, and strategic decision-making for major cloud and infrastructure transactions.
  • Advise on key legal and business issues in cloud and infrastructure transactions, including uptime commitments, business continuity, subcontracting, data use, compliance, portability, and supplier accountability.
  • Operationalize key commercial, financial, and legal terms by partnering with internal stakeholders to:
    • implement contracting requirements
    • track committed spend and renewal milestones
    • support compliance with reporting and audit provisions
    • build practical processes that help the business realize the value of negotiated terms
  • Support evaluation of alternative technologies, providers, and contracting approaches to drive efficiency, flexibility, and innovation.
  • Partner with internal business partners, attorneys, and contracts managers to develop processes, playbooks, and systems that scale cloud and commercial contracting globally.
  • Stay current on cloud contracting trends, emerging licensing and consumption models, and industry best practices to enable informed, pragmatic decisions.

Requirements

  • JD with minimum 8 years of experience in a legal environment, with significant experience negotiating complex SaaS, cloud services, technology infrastructure, and commercial transactions.
  • Minimum 2 years of in-house experience at a technology company (preferred).
  • Deep experience negotiating cloud compute, SaaS, hosting, data processing, professional services, and other technology supplier agreements; comfortable advising on data privacy, data security, AI, and general commercial risk.
  • Strong understanding of cloud computing business models, contracting structures, and pricing frameworks, including:
    • consumption-based models
    • committed spend arrangements
    • enterprise technology agreements
  • Experience partnering with Engineering, Infrastructure, Security, Finance, and Procurement stakeholders on high-value, strategically important technology deals.
  • Experience translating negotiated contract terms into scalable internal processes and operational guidance.
  • Strong communication skills, including the ability to translate legal concepts into clear, practical guidance for business teams.
  • Collaborative relationship-building skills and proactive problem-solving, including anticipating needs and offering solutions in partnership with business stakeholders.

Compensation & Benefits

  • Base salary range (US based applicants only): $158,765—$326,870 USD
  • Equity eligibility available.
  • Final salary depends on factors including location, travel, relevant prior experience, and specific skills and expertise.

Location

  • US based applicants only.
  • In-office requirement: in-person collaboration 1–2 times every 6 months.
  • Can be situated anywhere in the country.
