Overview
A legal department is seeking a Senior Counsel to serve as a key legal advisor and strategic partner across commercial, product innovation, and corporate initiatives. This role involves leading complex, high-impact transactions, providing legal guidance across multiple functional areas, and shaping the organization's legal strategy. The Senior Counsel will lead negotiations with customers and vendors, structure novel transactions, develop scalable legal frameworks, and contribute to enterprise risk management and governance.
Responsibilities
- Shape and implement legal strategy aligned with corporate objectives
- Lead and structure complex, high-value, enterprise-critical transactions influencing company strategy and market positioning
- Anticipate legal trends and provide strategic, business-oriented recommendations to senior leadership
- Lead high-impact initiatives such as mergers and acquisitions, new market entry, or major partnerships
- Provide day-to-day product and business counseling for the product team
- Negotiate and support strategic partnerships and collaborations
- Provide ongoing legal support for human resources
- Assist with litigation, investigations, and special projects as needed
- Coordinate with internal and external subject matter experts, including external counsel
- Drive the contracting process and serve as point of contact for internal stakeholders and customers
- Draft and negotiate various contracts including master agreements (with SaaS subscription terms), data privacy agreements, statements of work, software user agreements, business associate agreements, and consulting services arrangements
- Respond to inquiries regarding contract interpretation and compliance
- Introduce new methodologies or tools to build scalable legal operational excellence
- Serve as a recognized subject matter expert and establish strong working relationships with internal clients
- Mentor and guide junior attorneys and legal professionals
- Perform other duties as assigned
Requirements
- Juris Doctor (J.D.) degree and Bar Admission required
- 15+ years of relevant legal experience, with strong preference for in-house experience
- Experience working in-house at a technology, software, CRO, or pharmaceutical company
- Experience with various commercial transactions such as SaaS, strategic alliances, IP licensing, software licensing, contractor agreements, outsourcing, and facilities
- Experience in at least one of the following areas: product counseling, employment law, intellectual property, mergers and acquisitions, or partnerships
Preferred Qualifications
- Ability to influence stakeholders and provide practical, business-focused legal advice at all organizational levels
- Recognized expertise in domains such as SaaS, healthcare, clinical trials, privacy, or regulatory matters
- Proven ability to quickly learn new areas of law and technical product knowledge
- Familiarity with data privacy, HIPAA, and information security; knowledge of Institutional Review Boards (IRBs) and FDA regulations is a plus
- Confident and effective negotiator who can lead processes, focus on key issues, and efficiently close deals
- Strong drafting skills with attention to detail, producing clear and concise documents understandable to non-lawyers
- Skilled at cross-functional collaboration with various departments
- Ability to manage conflicting priorities and meet deadlines
- Motivated to learn about intellectual property, privacy, corporate matters, and employment issues
- Proficiency in Microsoft Office and general computer skills
- Salesforce experience preferred

Compensation and Benefits
- Base salary range: $150,898 - $221,404 (may vary based on location, skills, and experience)
- Eligibility for variable bonus in addition to base salary
