Overview

A leading organization specializing in national security, law enforcement, and commercial services is seeking a Senior Legal Counsel with extensive experience in U.S. federal government contracting. This role involves providing legal support for buy-side and sell-side contracting, particularly within the U.S. Government sector, including review, drafting, and negotiation of contracts and agreements related to technology products and data.

Responsibilities

  • Review, draft, and negotiate U.S. government contracts, teaming agreements, subcontracts, Non-Disclosure Agreements, third-party data licenses, supplier agreements, and partner agreements.
  • Review, negotiate, and advise on FAR and DFAR clauses applicable to government contracts.
  • Analyze terms and conditions for Requests for Proposals, Invitations to Bid, and other government bidding opportunities.
  • Provide legal review of supplier and partner agreements, including data and software licenses, reseller agreements, and consultant agreements.
  • Negotiate directly with external government and commercial clients, suppliers, partners, and consultants to secure favorable terms.
  • Draft contractual language to ensure appropriate risk allocation and advantageous terms.
  • Provide legal guidance on contract issues and dispute resolution.
  • Support business development teams with legal and contracting advice.
  • Evaluate negotiation practices and recommend improvements.
  • Recommend updates and revisions to contract templates based on business needs and customer requirements.

Requirements

  • Juris Doctorate (J.D.) from an accredited law school and current attorney licensure.
  • Minimum of 10 years of experience in U.S. federal government contracting with strong knowledge of FAR/DFAR, especially related to technology products and data.
  • Experience in customer and procurement contracting, including negotiation and drafting of customer and vendor agreements involving content, software, and technology; emphasis on data licensing and data rights is highly desirable.
  • Proven ability to structure, draft, analyze, and negotiate a wide range of contracts including sales agreements, data licensing agreements, teaming agreements, subcontracts, software licensing agreements, master service agreements, NDAs, and reseller agreements.
  • U.S. Citizenship required to comply with government contract and agency requirements.
  • Ability to obtain and maintain a U.S. Government Security Clearance.
  • Comfort working in a fast-paced, dynamic environment.

Compensation & Benefits

  • Base salary range: $119,700 - $222,300 USD, depending on location, experience, and internal equity.
