Overview

This role supports corporate governance and legal matters affecting insurance company operations. The position provides advice and guidance on corporate governance, contractual matters, data privacy, cybersecurity, employment, and other issues related to strategic initiatives and a changing regulatory environment.

The role advises leaders across all business units with special focus on corporate executives, Finance, Operations, and Data, Analytics & Technology. Work is collaborative and designed to support fast-moving business priorities.

Responsibilities

  • Provide practical, actionable regulatory, legal, and operational guidance to leaders across business areas, including corporate, financial, cybersecurity, data privacy, employment, and tax matters.
  • Draft Board resolutions, support preparation of Board materials, and coordinate communications with the Board and shareholders.
  • Review financial statement notes, management representation letters, and audit materials for accuracy and completeness.
  • Advise on technology matters, including cybersecurity, data privacy, and artificial intelligence.
  • Lead legal review and negotiation for vendor contracts, coordinating with risk management activities, including vendor due diligence.
  • Support risk management by assessing risks and implementing controls and governance.
  • Assist with preparation and filing of corporate regulatory filings, including Holding Company Act filings, in relevant jurisdictions as needed.
  • Support strategic initiatives, including legal due diligence for potential transactions, mergers, acquisitions, and other business activities to assess legal risks and support decision-making.
  • Develop and implement compliance programs to minimize legal risk, including assisting with drafting, revising, and implementing company policies and procedures; delivering training; and tracking compliance matters.
  • Stay current on relevant laws, regulations, and industry best practices affecting the U.S. re/insurance market, including data privacy and cybersecurity, and help ensure operations comply.

Requirements

  • Juris Doctorate from an accredited law school.
  • 10–15 years of counsel experience in corporate law, ideally in the Insurance/Reinsurance industry.
  • Strong writing and language comprehension skills.
  • Strong analytical skills.
  • Ability to deliver practical, business-minded legal advice.
  • Demonstrated excellence in time management, leadership, organizational influence, and project management.
  • Proven track record of results, collaboration, teamwork, problem-solving, and negotiation.
  • Strong interpersonal and communication skills with the ability to work effectively with a broad range of stakeholders.

Preferred Qualifications

  • Experience in data privacy and cybersecurity law and/or employment law.

Compensation & Benefits

  • Base salary expectation: $200,000 to $250,000
  • Actual base salary may be higher, commensurate with candidate experience and expectations.
