Overview

This role leads the entire legal function as Vice President, Legal, serving as a strategic partner to the CFO, Board of Directors, and private equity sponsor. The position focuses on building scalable legal infrastructure to support company growth and exit readiness, emphasizing automation, diligence standards, and operational efficiency rather than compliance alone.

Responsibilities

  • Own the legal AI technology stack by selecting, implementing, and championing AI-powered tools for contract review, contract lifecycle management, policy drafting, and regulatory monitoring.
  • Partner with Product and Engineering teams on machine learning pricing models, developing and maintaining legal and ethical frameworks for data usage, algorithmic decision-making, and pricing transparency.
  • Architect scalable commercial contracting processes and playbooks to enable efficient deal closing by Sales while simplifying procedures and maintaining necessary protections.
  • Embed exit-readiness into all legal work, operating with a private equity mindset and maintaining diligence-ready standards.
  • Serve as a core member of corporate functions leadership, collaborating with Corporate Development, Financial Planning & Analysis, Accounting, and IT on cross-functional initiatives including mergers and acquisitions.
  • Establish and refine corporate governance frameworks, act as Secretary to the Board of Directors, prepare Board materials, and advise on governance and compliance trends.
  • Oversee the legal budget and manage external legal relationships, balancing internal and external resources with a preference for insourcing through technology.
  • Manage global employment law matters, partnering with People Operations on complex employment issues, equity agreements, compensation plans, and international workforce compliance.
  • Collaborate with Finance on enterprise risk management, focusing on insurance, tax exposure, operational risk, and factors affecting exit valuation.
  • Perform other related duties to support team and company priorities.

Requirements

  • Juris Doctor (J.D.) from an ABA-accredited law school.
  • Active bar membership in good standing.
  • Minimum 15 years of professional legal experience, including substantial experience in high-growth technology companies.
  • Strong executive presence with the ability to translate complex legal concepts into actionable insights for non-legal business leaders.
  • Deep expertise in SaaS commercial agreements, including subscription agreements, data processing addenda, API and partner agreements, and enterprise deal structuring.
  • Fluency in legal issues related to AI and machine learning products, including data licensing, algorithmic accountability, privacy regulations (GDPR, CCPA, and emerging US frameworks), and automated decision-making laws.
  • Experience in corporate governance, including serving as Board Secretary or equivalent.
  • Genuine interest and knowledge of legal technology and AI tools transforming in-house legal work.

Preferred Qualifications

  • Experience with mergers and acquisitions in a private equity context.
  • Competency in employment law across multiple jurisdictions.
  • Familiarity with international corporate structures and their impact on growth, regulatory compliance, tax exposure, and workforce management.
  • Background supporting a company through a full private equity to exit cycle.
