Overview
A technology company specializing in Audio and AI is seeking a Vice President of Legal to serve as the sole in-house legal resource. This full-time remote position based in the United States reports directly to the CFO and offers a high-autonomy role with broad responsibilities across multiple legal domains.
Responsibilities
- Manage the entire legal function including commercial contracts, corporate governance, intellectual property, music licensing, international expansion, securities, compliance, and outside counsel management across four jurisdictions (US, Australia, UK, Mexico).
- Draft and negotiate enterprise agreements such as Master Service Agreements (MSAs), Statements of Work (SOWs), data agreements, and addenda with major retailers and brand partners.
- Oversee legal review and negotiation throughout the commercial lifecycle.
- Handle corporate governance tasks including board resolutions, annual minutes, and entity maintenance.
- Lead corporate transactions including restructures, secondary sales, and debt facilities.
- Manage intellectual property matters including patents, trademarks, and music rights with multiple collecting societies and performing rights organizations (PROs).
- Develop licensing strategies aligned with product evolution.
- Support international expansion through entity formation, local employment agreements, GDPR and privacy compliance, and regulatory clearance.
- Administer securities and capital matters such as loan documentation, warrant and option administration, ESOP, 409A valuations, and cap table oversight.
- Manage outside counsel across multiple jurisdictions, including budget ownership, prioritization, and vendor selection.
- Advise leadership on compliance issues (SOC2, ISO), AI policy, data privacy, and emerging regulatory matters.
Requirements
- 8–12 years post-qualification experience (PQE), including significant time at a top-tier law firm and in-house at a growth-stage technology company.
- Strong commercial negotiation skills.
- Proven ability to operate as a sole or first in-house lawyer, self-directing across multiple legal areas.
- Experience with commercial contracts involving enterprise customers, preferably in retail, media, or SaaS sectors.
- Cross-border legal experience covering the US and at least one of Australia, UK, or Latin America.
- Experience managing outside counsel, including budget responsibility and panel coordination.
- Strong familiarity with technology and comfort working in an AI-focused environment.
Preferred Qualifications
- Experience with music licensing or content rights, including dealings with collecting societies, PROs, and digital distribution.
- Experience with holding company restructures or corporate reorganizations.
- Familiarity with Australian corporate law alongside US law.
