Overview
This role serves as assistant corporate secretary for a public company and its regulated and unregulated subsidiaries, overseeing all aspects of board and committee governance. The position provides legal counsel on public company securities matters, including compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934, as well as related disclosure, reporting, and governance obligations. The successful candidate will deliver timely, high-quality legal advice and assistance to legal and business colleagues, both individually and by leading and managing others.
Responsibilities
- Provide expert, timely, and high-quality legal advice and support.
- Serve colleagues, board members, and others with a responsive, problem-solving attitude and strong work ethic; escalate matters appropriately.
- Collaborate and communicate with legal and business colleagues to perform complex assignments and resolve challenging legal issues.
- Act as assistant corporate secretary, organizing board and committee meetings, preparing agendas, minutes, and resolutions, and maintaining corporate records.
- Support board governance, including director onboarding, meeting preparation, compliance with listing standards and regulatory requirements, and governance best practices.
- Advise on public company securities law matters, including compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934, SEC filings, disclosure obligations, and related policies.
- Prepare, review, and file periodic and current reports such as Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and other SEC documents.
- Provide guidance on earnings announcements and shareholder communications.
- Support financing and capital projects from inception through ongoing compliance.
- Coordinate with internal and external stakeholders, including board members, auditors, regulators, and outside counsel, on securities and governance matters.
- Identify legal issues and provide advice on alternatives to mitigate enterprise risk while achieving client goals.
- Manage legal research and analysis of complex or unusual legal issues.
- Provide legal support for sustainability initiatives and reporting.
- Supervise and facilitate development of team members.
- Lead or support cross-functional projects related to securities and corporate governance.
- Perform other legal and management duties as assigned.
Qualifications
Education
- Juris Doctor (JD) degree from an accredited law school.
- Bachelor’s degree (BA/BS) from an accredited university or college.
Experience
- Minimum 12 years of experience as an attorney in a law firm or corporate legal function.
- Experience advising public companies on corporate governance, securities law compliance, and SEC reporting.
- Business, finance, or accounting degree or experience; working knowledge of related concepts and practices.
Licenses
- Licensed to practice law in the relevant jurisdiction.

Compensation and Benefits
- Annual salary range: $180,220.00 - $268,400.00, varying based on knowledge, skills, experience, and market location.
- Eligibility for an annual bonus plan.
- Some positions may participate in a long-term equity incentive plan.
