Overview
A rapidly growing technology company is expanding its legal team and seeking a skilled attorney to support its commercial legal needs. Reporting to the Associate General Counsel, Head of Commercial Legal, this role involves drafting, negotiating, and closing commercial transactions related to SaaS products, as well as managing vendor, channel, and partnership contracts. The position requires collaboration across multiple teams in a fast-paced environment and a strong focus on customer service and business partnership.
Responsibilities
- Independently negotiate a variety of customer-related agreements including SaaS agreements, data processing agreements (DPAs), distribution/partner agreements, NDAs, and other contracts related to product distribution and sales.
- Negotiate and manage vendor contracts.
- Provide clear, pragmatic legal advice on contract terms, including security and data privacy requirements, to non-legal stakeholders.
- Participate in the creation and maintenance of contracting resources such as templates, playbooks, and handbooks.
- Contribute to projects aimed at improving internal processes and scaling the legal department, including developing training materials.
- Build close working relationships with business stakeholders to facilitate efficient contract review and deliver solutions-oriented legal advice.
- Educate, counsel, and train business owners and senior management on legal, regulatory, and compliance risks.
- Assist with the implementation and maintenance of a contracts management system.
- Provide general legal support as needed.

Requirements
- Juris Doctor (JD) from an ABA-accredited law school and admission to the bar in good standing.
- Minimum of 4 years of relevant sales-side transactional experience, preferably including some in-house experience and international exposure.
- Strong understanding of SaaS contracting models, including data privacy and revenue recognition issues.
- Excellent drafting skills with attention to detail and efficiency.
- Effective negotiation skills with the ability to clearly explain company positions and policies.
- Flexibility and sound judgment in ambiguous situations.
- Ability to work under pressure, manage multiple competing priorities, meet deadlines, and adapt in a rapidly growing company.
- Proven track record of positive collaboration and cross-functional project involvement.
- Strong customer service orientation, both internal and external.
- Professionalism and commitment to building strong relationships across teams.
- Intellectual curiosity, eagerness to learn, and a good sense of humor.
Preferred Qualifications
- Experience working in a rapidly growing company.
- Familiarity with data security and privacy laws such as GDPR and CCPA.
- Project management experience with cross-functional initiatives.
- Experience using or implementing contract management software such as Ironclad.
- Familiarity with DocuSign, Confluence, and Salesforce/CPQ.
Compensation & Benefits
Target pay ranges based on geographic zones for this level are as follows:
- Zone 1 (San Francisco/Bay Area, NYC Metropolitan Area, Boston, Seattle): $136,000 - $187,000
- Zone 2 (Irvine, LA, Monterey, Santa Barbara, Santa Rosa, Austin, Portland, Philadelphia, Chicago): $122,000 - $168,000
- Zone 3 (All other US locations): $116,000 - $159,000
