Overview

An AI-native law firm is seeking an emerging companies attorney to manage deals for a growing roster of startup clients, ranging from pre-seed to later-stage rounds. This role focuses on execution, allowing the attorney to own matters from start to finish, work directly with founders and investors, and utilize AI-native workflows to increase speed and consistency compared to traditional firms.

Responsibilities

  • Manage venture financings including priced rounds, SAFEs, convertible notes, formations, equity issuances, and related emerging companies matters for both companies and investors from start to finish.
  • Serve as a primary point of contact for clients, advising founders and management teams on corporate, employment, intellectual property, and governance issues at various stages of growth.
  • Negotiate directly with investor and company counsel, leveraging knowledge of market terms to efficiently move deals.
  • Use and help refine AI-native workflows and playbooks to expedite routine deal work, focusing attorney time on judgment calls rather than mechanical drafting.
  • Work within established practice standards and contribute to their ongoing improvement.

Requirements

  • Minimum of 4 years of emerging companies and venture capital experience at a reputable law firm. Experience at firms such as Cooley, Orrick, Fenwick, Wilson Sonsini, Gunderson, Goodwin, Latham, or similar is preferred.
  • Proven ability to run deals independently with a strong understanding of market standards at each stage.
  • Solid working knowledge of NVCA documents, SAFEs, convertible notes, 409A and 83(b) mechanics, equity plan basics, and corporate governance and ancillary issues including employment, IP, and commercial matters relevant to growing companies.
  • Clear and direct communication skills, trusted by founders and investors for providing relevant and concise advice.
  • Admission to practice law in at least one U.S. jurisdiction and in good standing.

Preferred Qualifications

  • Recent hands-on experience using modern AI tools in legal work, with informed opinions on their effectiveness.
  • Frustration with inefficiencies caused by repetitive mechanical work at traditional firms and a desire to work in an environment that addresses these challenges.
  • Preference for performing legal work directly rather than managing others, with an interest in leveraging tools and workflows to enhance efficiency and quality.

Compensation & Benefits

  • Anticipated base salary range: $200,000–$230,000
  • Equity participation
  • Eligibility for company benefits
  • Access to modern tooling
  • No billable hours requirement
