Overview
The Vice President, Associate General Counsel will lead the Business Transactions Unit within the Legal Department, focusing on corporate and commercial contract matters. This role involves providing legal advice, representing the organization in legal proceedings, conducting legal research, and performing legal and policy analysis. The position includes creating and administering contracts and supervising support staff, with potential oversight of other attorneys. Responsibilities include employee management tasks such as interviewing, hiring, training, performance appraisal, and conflict resolution.
Responsibilities
- Provide daily legal advice on corporate and commercial matters, emphasizing commercial and governmental contracts and general business transactions.
- Draft, review, and negotiate a wide variety of contracts with third parties, including loan servicing agreements, subcontracting agreements, vendor agreements, and technology agreements.
- Develop, review, and implement contract templates and playbooks; engage in process design to improve procurement and contracting effectiveness.
- Prepare and review requests for information, requests for proposals, and assist business units with due diligence related to prospective business partners.
- Provide legal support on real estate, mergers and acquisitions, and corporate financing matters.
- Collaborate with the Federal Contracts team on contract modifications and advise on legal strategy related to federal contract matters and disputes.
- Retain and supervise approved outside legal counsel for corporate and commercial matters.
- Monitor legal and regulatory changes affecting commercial agreements and update contract templates and playbooks accordingly.
- Serve as a key leader in implementing a contract management platform.
Minimum Requirements
- Juris Doctor degree from a nationally accredited law school.
- Current membership in good standing with at least one state bar.
- Licensed or eligible to practice law in Missouri, or able to obtain Missouri state bar admission promptly.
- Minimum of 12 years of experience in corporate law practice, either in a law firm or in-house legal department.
- At least 5 years of experience developing and executing contract and risk mitigation strategies and negotiating complex, high-stakes contracts.
- Demonstrated transactional law experience, including drafting, negotiating, and implementing contracts, and developing related policies, strategies, and playbooks.
- Leadership experience managing and mentoring attorneys or legal personnel.
- Excellent written and oral communication skills, with the ability to collect data and draw legal conclusions.
- Strong drafting, organizational, and time-management skills.
- Proficiency in Microsoft Office (Word, Excel, Outlook, PowerPoint).
- Self-motivated team player with professionalism, positive attitude, confidentiality, and ability to multitask under pressure.
- U.S. citizenship with an active 6C Public Trust Security Clearance or ability to obtain this clearance.
- Some travel may be required.
Preferred Qualifications
- Experience with federal contract laws, including Federal Acquisition Regulation (FAR), Education Acquisition Regulation (EDAR), and other government procurement regulations.
- Experience in the student loan industry or other consumer finance and/or collections industries.
- Experience implementing a contract management platform.
