Commercial Counsel

Overview

An established minerals company focused on supplying critical minerals for energy, AI, and defense technologies is seeking an experienced Commercial Counsel to join their legal team. This role is ideal for a transactional attorney who enjoys working in an operational environment and supporting procurement, construction, and project delivery functions.

Responsibilities

• Lead drafting, review, and negotiation of various commercial agreements including NDAs, MSAs, supply and procurement agreements, offtake agreements, software agreements, and professional services agreements
• Develop and maintain scalable contract playbooks, standard form agreements, fallback positions, and negotiation guidelines to ensure efficient and consistent contracting
• Collaborate with cross-functional teams to improve contract workflows by streamlining negotiation, tracking, execution, and identifying automation opportunities
• Provide practical, business-oriented legal advice on matters such as intellectual property, risk mitigation, and contract interpretation
• Support the legal team on ad hoc matters as needed

Requirements

• J.D. from a top accredited law school with active bar membership in good standing
• 5-7+ years of experience as a transactional or commercial attorney, with significant exposure to drafting and negotiating commercial contracts (law firm and/or in-house experience)
• Strong drafting, negotiation, and analytical skills with the ability to communicate complex legal issues clearly to non-legal stakeholders
• Ability to work independently, manage multiple priorities, and operate effectively in a fast-paced, resource-constrained environment
• High degree of ownership and accountability
• Experience in mining, energy, construction, or other capital-intensive industries
• Experience supporting large-scale commercial contracting projects
• Willingness to travel as needed

Compensation & Benefits

• Salary range: $170,000 - $210,000
