Overview
The organization is seeking a Commercial Counsel to join the legal team. This role serves as a key legal partner to the Sales organization, owning day-to-day commercial contract negotiations from first draft through signature for a high volume of SaaS customer deals. The position balances speed with risk management, helping reduce deal cycle times and build scalable, resilient commercial legal support as the business grows.
Responsibilities
- Draft and negotiate customer-facing SaaS agreements, including MSAs, order forms, DPAs, SLAs, and related documents; escalate complex or non-standard terms to senior counsel as needed.
- Support commercial negotiations end-to-end, helping structure deals that balance customer needs with the organization’s risk, operational, and compliance requirements.
- Act as a primary Legal contact for mid-market and enterprise transactions alongside Sales and Deal Desk; answer questions, resolve issues, and unblock deals.
- Manage data privacy and security aspects of deals by handling DPA negotiations and collaborating with Security/IT on customer security questionnaires and related reviews.
- Build and improve scalable contracting processes, workflows, templates, and playbooks (including through AI-powered tools) to reduce friction in the sales cycle and increase throughput over time.
- Enable the Sales organization by developing training materials, self-service resources, and guidance on common contract terms so reps can navigate routine issues independently.
- Advise internal stakeholders on contractual risk, liability, and compliance issues in a practical, business-oriented way aligned with organizational priorities.
- Take on additional projects and responsibilities as business needs require.
Requirements
- JD from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- 3–5 years of legal experience, with at least 2 years focused on commercial/transactional work (in-house SaaS experience preferred).
- Working knowledge of B2B SaaS agreements, including MSAs, SaaS terms, AI addendums, SLAs, and data processing agreements.
- Demonstrated ability to manage a high volume of concurrent contract negotiations and prioritize effectively under time pressure, with strong attention to detail.
- Experience using, or willingness to adopt, AI-powered contract review and workflow tools, and comfort navigating questions about AI in customer contracts.
- Working knowledge of GDPR, CCPA, and related privacy frameworks as they relate to commercial contracting.
- Track record building strong relationships with sales leaders and acting as a business partner; judgment to push back, compromise, or escalate appropriately.
- Excellent written and verbal communication skills, including the ability to explain legal concepts in clear, plain language tailored to different audiences.
