Commercial Counsel (Freelance, Part-Time)

Overview

This role supports a growing international technology consulting organization on a freelance, part-time basis.

The engagement is fully remote (USA) with an expected commitment of up to 20 hours per week. The ideal candidate has experience supporting technology consulting, enterprise software, or SaaS organizations—particularly supporting ServiceNow Partner, ServiceNow consulting, or enterprise technology consulting engagements.

Responsibilities

• Draft, review, negotiate, and manage MSAs, SOWs, NDAs, Professional Services Agreements, SaaS Agreements, and Vendor/Partner Agreements.
• Review customer agreements related to ServiceNow consulting, implementation, managed services, support services, and strategic partnerships.
• Advise executive leadership and business teams on legal matters.
• Support contract negotiations with customers, partners, and vendors.
• Advise on corporate governance, intellectual property, software licensing, employment, and privacy matters.
• Develop contract templates, legal playbooks, and internal policies.

Requirements

• Licensed to practice law in the United States or Canada.
• 5+ years of corporate, commercial, or technology law experience.
• Experience supporting a SaaS, enterprise software, IT consulting, managed services, or technology company.
• Strong experience drafting, reviewing, and negotiating commercial agreements.
• Experience supporting a technology consulting or SaaS company, including negotiating MSAs, SOWs, software licensing, and customer agreements.
• Knowledge of commercial law, corporate governance, employment law, and privacy regulations.
• Ability to work independently in a remote freelance environment.

Preferred Qualifications

• Experience supporting AI, cloud, or digital transformation companies.
• Experience with international commercial transactions.
• Experience developing contract templates and legal playbooks.
• Previous experience supporting a ServiceNow Partner or ServiceNow consulting company is a plus.
