Overview

This role supports the contracts function that enables teams to work effectively and with clear terms. The Contracts Specialist serves as a first-line reviewer for contracts and related documents, identifies and communicates risk, maintains a centralized contract database, and manages contract template updates and change requests.

Responsibilities

Contract Review and Risk Screening

  • Review contracts, amendments, and RFPs submitted by Sales and internal teams, including client, partner, vendor, and IT agreements.
  • Identify terms that carry real risk, explain what each could cost, and recommend responses using redlines aligned to standard positions.
  • Coordinate redlines and approvals between Sales and leadership.
  • Elevate terms outside standard positions to ensure each agreement has a clear status and next step.
  • Support internal teams with risk questions related to software and IT agreements and client security questionnaires.
  • Own insurance requirements in contracts:
    • Serve as the first stop for internal insurance questions.
    • Coordinate the annual insurance renewal with the broker.
    • Back up the Biz Ops Coordinator on certificate of insurance (COI) requests.

Contracts Database and Lifecycle

  • Build and maintain a central Contracts Database.
  • Ensure contracts are stored with key dates, terms, and obligations; a contract is not considered complete until it is properly stored.
  • Keep database data accurate and complete:
    • Check entries regularly.
    • Fix errors at the source.
    • Document how entries are made so teammates can add information correctly.
  • Record renewal, notice, and termination terms when storing contracts so Sales (who own renewals) understand:
    • Renewal terms
    • The paper the contract is on
    • Whether anything new needs to be put in place
  • Own the termination process:
    • When Directors or Sales decide to end an agreement, review the contract if its terms are not already in the database.
    • Define how the termination will occur.
    • Hold the team accountable for the required steps.
  • Grow what the database captures over time to help teams answer questions about terms and obligations without reopening contracts, and to provide leadership visibility into risk across all contracts.

Templates

  • Own contract templates:
    • Determine what belongs in templates.
    • Obtain Legal team feedback.
    • Update templates once changes are approved.
  • Maintain a contract template change request process so each request has a clear answer and visible status.
  • Keep one current version of each template in one location and prevent use of outdated copies.
  • Work with Sales to clarify which terms carry little risk and can be adjusted, versus which terms involve operational or business risk and should not change without review.
  • Identify template gaps and drive closure.

Requirements

  • Hands-on experience reviewing professional services agreements, such as MSAs, SOWs, and change orders (ideally in a consulting or implementation environment).
  • Working knowledge of common risk terms, including:
    • Indemnification
    • Limitation of liability
    • SLAs
    • Data and privacy
    • Insurance requirements
  • Experience building or maintaining a contract repository or tracker and keeping it accurate over time (not just using a single system once).
  • Experience carrying a template or process change through to adoption across teams that do not report to you.
  • A calculated view of risk—size it, recommend a response, and help decision-makers weigh risk against deal value rather than treating risk as something to avoid or forward every contract to counsel.
  • Experience working with an outside law firm or in-house counsel.
  • Comfort working in lower-tech environments (SharePoint, spreadsheets, Salesforce) in addition to e-signature platforms, and willingness to embrace new tools such as AI.

Preferred Qualifications

  • Experience with public sector contracts and RFPs.
  • Experience with prime agreements and terms that flow down from them, such as procurement codes and subcontracting commitments (construction experience is a plus).
  • Experience with client security questionnaires.
  • Experience reviewing software, IT, and vendor agreements.
  • Experience with international contracts.
