Overview

This role is part of the Corporate Legal team within the organization’s Legal Department. The Legal Department is a global team working with international colleagues and requires an adaptable, collaborative approach to complex legal issues, balancing local and global perspectives.

The position supports mergers, acquisitions, joint ventures, investments, warrants, and other corporate transactions, with occasional support for additional corporate matters.

Responsibilities

• Lead and support mergers, acquisitions, joint ventures, investments, warrants, and other corporate transactions through all stages of the transaction lifecycle, including:
  • assessment of potential targets
  • deal structuring
  • due diligence
  • negotiation
  • deal execution
• Provide strategic legal advice to senior management and internal stakeholders regarding M&A strategy, risk management, and execution
• Draft, review, and negotiate transaction documents, including:
  • letters of intent
  • definitive agreements
  • ancillary documents
• Collaborate with multiple cross-functional teams across the organization
• Manage outside counsel to coordinate effective legal support during transaction processes
• Contribute to the development of internal legal processes and best practices for M&A
• Assist and collaborate on other Corporate Legal matters as needed

Requirements

• JD and 5+ years of relevant experience working at a law firm or in-house, focused on M&A and corporate transactions
• Track record of independently running deal workstreams
• Strong organizational and process management skills
• Excellent verbal and written communication skills
• Sound business judgment and attention to detail
• Ability to find practical and creative solutions to both legal and business problems
• High level of integrity, professionalism, and intellectual curiosity, with willingness to grow
• Positive attitude, sense of humor, and high EQ
• Licensed in a US state

Compensation & Benefits

• Pay Range: $196,000—$230,000 USD
• This role may also be eligible for bonus, equity, benefits, and Employee Travel Credits.
• Actual base pay is dependent upon factors including training, transferable skills, work experience, business needs, and market demands; the base pay range is subject to change.

Location

• US - Remote Eligible
• The role may include occasional work at an office or attendance at offsites, as agreed with your manager.
• While Remote Eligible, you must live in a state where the organization has a registered entity.
