Legal Consultant - Products (ECM / Structured Products) - Remote

Overview

The organization is seeking a Legal Consultant – Product (ECM / Structured Products) to provide mid to long-term support to a leading global client in digital assets/fintech. This role serves as a key legal point of contact for equity-linked products and is based on remote work.

Responsibilities

• Serve as the primary legal advisor for a portfolio of equities and structured/innovative products, supporting matters through the full lifecycle, including:
  • design
  • launch
  • enhancement
  • exit
• Draft, review, and negotiate offering documents, product terms, brokerage/platform agreements, and partner contracts, creating program-level documentation where needed.
• Advise on regulatory and compliance matters, including:
  • financial promotions
  • market conduct
  • licensing issues
  • coordinate with internal regulatory, compliance, and risk teams.
• Partner with product, business, marketing, and operations stakeholders across multiple jurisdictions to structure new initiatives and manage legal risk.
• Manage external counsel, contribute to internal guidance and training, and help develop scalable legal processes and templates.

Requirements

• 5–12 (+) years PQE with experience in structured products / ECM / derivatives or broader capital markets, from in-house or private practice.
• Experience supporting global or US-underlying equity programs (e.g., DRs, structured equity, IPOs, program-level documentation) or cross-border offerings is advantageous.
• Crypto, digital assets, or tokenization experience is an advantage but not required.
• Proven ability to draft and structure complex capital markets/structured product documentation, with comfort building terms and programs from the ground up with minimal supervision.
• Comfortable working with a high degree of autonomy while partnering closely with cross-functional teams.
