Overview
This role involves owning the in-house legal function across three distinct workstreams: consumer-facing compliance, fund documentation and custody protocols, and cross-border asset structuring, along with management of outside counsel relationships. Reporting directly to the CEO, you will convert legal exposure into documented, managed risk before it reaches the business and build the audit cadence, compliance systems, and counterparty controls needed to support a global consumer brand, a family office, and multi-jurisdictional structuring.
Responsibilities
- Own consumer-facing compliance risk management, including monitoring and controls across relevant checkout flows and disclosures.
- Build and run a Monthly Legal Exposure Audit that becomes part of the business operating rhythm.
- Conduct Quarterly Compliance Sweeps covering checkout flows, terms of service, arbitration clauses, pricing, and FTC endorsement guidelines against current federal and state regulation.
- Negotiate hedge fund subscription agreements, side letters, and LP terms prior to capital deployment.
- Stand up Quarterly Fund Documentation Reviews across subscriptions, custody arrangements, loan covenants, and counterparty protocols.
- Enforce investment security controls, including authorized account whitelists, multi-party verification, and transfer protocols.
- Structure asset protection across multiple international jurisdictions.
- Independently identify and surface five material legal risks within the first 90 days.
- Operate as the sole legal resource, setting the operating standard (including a written monthly exposure memo covering active matters, deadlines, and risks across all three workstreams).
Requirements
- JD from an accredited law school; barred in at least one U.S. jurisdiction.
- 5–10 years of legal experience, ideally a mix of law firm and in-house roles.
- Demonstrated ability to manage multiple outside counsel relationships simultaneously.
- Comfort operating as a sole legal resource with no legal team to lean on.
- AI fluency: actively uses AI tools (Claude, ChatGPT, or equivalent) for legal research, drafting, and risk identification (this will be tested during the interview process).
- Proven track record of proactively identifying legal risks that were not assigned.
- Comfort working across multiple international jurisdictions and coordinating cross-border legal work.
- Independent judgment and ability to act on what you see.
Preferred Qualifications
- Background in corporate/commercial law at a mid-market or BigLaw firm before transitioning in-house.
