Senior Commercial Counsel - Enterprise West (Canada-Remote)

Overview

This role involves serving as Senior Commercial Counsel, joining the expanding legal team with a primary focus on enterprise transactions and support for West Coast Area Directors and their teams.

Responsibilities include independently leading legal negotiations and providing guidance across a range of deal structures, such as subscription agreements, data processing agreements, partner agreements, and vendor agreements. As the organization scales, you will also help shape initiatives to streamline the contracting process.

Responsibilities

• Independently lead legal negotiations with enterprise customers.
• Provide general guidance on a variety of transaction types, including:
  • Subscription agreements
  • Data processing agreements
  • Partner agreements
  • Vendor agreements
• Support contracting initiatives that streamline the contracting process as the organization scales.

Requirements

• 8+ years of in-house transactional experience, including direct interaction with potential customers, partners, vendors, and internal stakeholders/executives (from sales through information security).
• 5+ years of experience negotiating SaaS agreements, amendments, and order forms with enterprise customers.
• Understanding of the full contract lifecycle, from NDA through internal approvals and conclusion of the signature process.
• Strong organizational skills and attention to detail.
• Great deal management “bedside manner” while working through transactions (internal and external).
• Strong communication and interpersonal skills.
• Proficiency editing and managing contracts using both Microsoft Office and Google Product suites.
• A growth mindset with the ability to manage multiple concurrent projects and tasks to completion within required timeframes.
• Team-oriented approach with flexibility to address unique issues in real time, and judgment on when to bring in others.
• Licensed to practice law and in good standing in state of residence.

Compensation & Benefits

• Target salary range: $168,000 - $231,000.
• Salary is determined based on scope and responsibilities, relevant skills/experience/certifications, and where you are physically located (based on a regional tier system).
• Internal note: broader internal salary grades support future career growth and merit-based increases within the role over time.
