Overview

The organization is seeking a Senior Counsel to support the General Counsel across three primary areas: corporate governance for its Israeli parent company, corporate and equity matters across the group, and commercial contracting. This is a hands-on role partnering closely with business stakeholders to facilitate customer and commercial contracting, support financing, M&A, and other corporate transactions, and provide practical legal advice across a broad range of legal matters.

The role requires comfort working across Israeli and US legal practice.

Responsibilities

Commercial contracting

  • Draft, review, and negotiate customer, vendor, partner, and reseller agreements under established playbooks, escalating to the General Counsel when needed.
  • Support DPAs, BAAs, and related data terms consistent with the organization’s positions.
  • Help maintain contract templates and playbooks.

General legal support

  • Support the General Counsel and HR on employment matters, including cross-border considerations.
  • Help develop and implement internal legal policies.

Israeli corporate governance

  • Partner with the Corporate Secretary on governance for the Israeli parent, including preparing board and shareholder meeting materials, resolutions, and minutes.
  • Keep corporate registers current and ensure Registrar of Companies filings are maintained.
  • Support alignment with the Israeli Companies Law, including the approval process for related-party transactions.
  • Work with Finance and the plan trustee on equity plan administration, including grants, exercises, and related filings.
  • Serve as the day-to-day point of contact for Israeli outside counsel on governance matters.

Corporate and equity

  • Maintain corporate records and approvals for the parent and its US subsidiary.
  • Support equity plans and related activities, including option grants, exercises, vesting, share transfers, and cap table administration.
  • Support financings, secondary transactions, and M&A, including diligence, data room organization, documentation, and closings.
  • Manage shareholder requests, information rights, transfer restrictions, and ROFR processes.

Requirements

  • Law degree (LL.B. or J.D.) and admission to the Israel Bar.
  • US (NY or CA preferred) bar admission or US-law experience an advantage.
  • 7+ years of post-qualification experience.
  • Hands-on Israeli corporate governance experience, ideally for a technology company.
  • Experience with Israeli equity administration, financings, and M&A.
  • Strong commercial contracting experience, particularly SaaS agreements with US enterprise customers.
  • Fluent English; professional Hebrew for Israeli corporate records and filings.
  • Authorized to work in the United States.

Preferred Qualifications

  • Business-oriented, practical, and solution-driven approach.
  • Comfortable working independently and managing multiple matters at once.
  • Excellent communication and negotiation skills.
  • Detail-oriented, organized, and accountable.
  • Experience in health-tech, AI, or regulated industries (e.g., HIPAA, privacy).

Compensation & Benefits

  • Salary range: $175,000 – $200,000 base, plus equity.
