This role is a hands-on, high-variation position on the Commercial Legal team, supporting revenue-driving transactions end to end. Responsibilities range from negotiating enterprise agreements and partner/reseller arrangements to structuring terms for technology partners, updating API and marketplace terms, and revising deal playbooks following complex closings.
The role partners closely with Sales, Partnerships, RevOps, Procurement, Finance, Product, Security, and Privacy to deliver sound, risk-balanced legal guidance and help internal stakeholders get deals done.
Responsibilities
- Independently negotiate and close high-volume customer agreements across SMB, mid-market, regulated, and large enterprise segments, including MSAs, Order Forms, DPAs, SLAs, NDAs, and AI addenda.
- Support the partner ecosystem end to end, drafting and negotiating agreements with:
- Agency and solution partners
- Technology and integration partners
- Resellers and channel partners
- Referral partners
- Including program terms, co-selling and co-marketing, revenue share, and referral fees.
- Work with Partnerships and BD teams to structure, launch, and scale partner programs, keeping partner-facing templates, flow-downs, and program terms aligned with customer paper.
- Advise on API, developer, and marketplace terms, including terms for app developers and template creators, in coordination with Product so terms reflect platform and AI feature functionality.
- Review and negotiate vendor agreements, including SaaS, AI-enabled tools, and services, with Procurement, Security, and Privacy.
- Maintain and improve templates, playbooks, fallback positions, and enablement materials so deal teams can handle routine issues independently.
- Act as a go-to escalation point for Sales, Partnerships, and Deal Desk, providing practical guidance that considers revenue impact, risk, and precedent.
- Provide coverage across the team (including supporting colleagues’ deals and engaging with Trust & Safety on Security and Privacy matters) as business needs evolve.
- Use AI tools and the contracting stack to accelerate end-to-end work product while maintaining guardrails for accuracy, reliability, and confidentiality.
Requirements
- Admitted and in good standing in at least one U.S. jurisdiction.
- 7+ years of post-qualification experience, including a combination of law firm training and at least 2 years in-house supporting revenue-generating teams in a hyper-growth, fast-paced tech environment.
- Demonstrated experience independently drafting, negotiating, and closing B2B SaaS/PaaS agreements, including DPAs and privacy terms, as well as vendor and partnership agreements in close partnership with Sales, Procurement, and other cross-functional stakeholders.
- Hands-on experience supporting a partner ecosystem, such as channel/reseller, referral, technology/integration, agency, or marketplace programs.
Preferred Qualifications
- Low-ego, hands-on team player comfortable jumping in wherever needed across a range of scope and visibility.
- Commercially pragmatic approach—able to secure strong outcomes without pursuing every point.
- Understanding of partner economics and incentives, with the ability to design scalable program terms.
- Growth-enabling, risk-balanced judgment, with clear escalation when appropriate.
- Comfortable operating with incomplete information and adapting quickly as priorities shift.
- AI-fluent and systems-savvy, with hands-on experience in a CLM (Ironclad or similar), DocuSign, Salesforce, Google Workspace, and Slack.
