Overview
This role supports the Legal Department as an Assistant General Counsel within Shared Services. Responsibilities include drafting, reviewing, and negotiating complex technology and commercial agreements, managing technology transactions from inception to closure, and partnering with internal stakeholders to support contracting needs and compliance obligations, including HIPAA privacy and security.
The position offers flexibility to work remotely within the United States. Periodic travel may be required to offices in Dallas, Texas and Los Angeles, California, and for other needs as needed.
Responsibilities
- Draft, review, and negotiate complex agreements, including commercial, software licensing, SaaS and services agreements, in a healthcare, healthcare information technology (HIT), and HIT medical device environment.
- Manage complex technology transactions from inception to closure.
- Assist in overseeing and improving contract management policies and procedures.
- Ensure compliance with procurement and contracting policies and procedures; partner with the Contracts Manager to provide guidance and training to business teams.
- Collaborate with the Privacy Officer and other members of the Legal Department to meet HIPAA privacy, HIPAA security, and other compliance requirements.
- Build strong relationships with business teams to ensure legal support needs are addressed in a timely and efficient manner.
- Collaborate with business teams to efficiently move transactions to closure.
- Handle additional transactional, corporate, compliance, and other matters as needed.
Requirements
- J.D. from an accredited U.S. law school (or equivalent), with high degree of academic achievement.
- Licensed to practice law in one or more U.S. states.
- At least 10 years of relevant experience as a lawyer, including large law firm and prior in-house legal experience.
- Experience drafting and negotiating complex agreements in a healthcare, healthcare IT and/or life sciences environment, with strong understanding of technology and HIPAA privacy and security requirements.
- Experience with healthcare information technology (HIT) transactions.
Preferred Qualifications
- Prior experience negotiating intellectual property licensing transactions with universities.
- Experience with HIT medical devices.

Compensation & Benefits
- $170,000 - $210,000 base salary plus bonus potential (salary range for applicable US-based applicants; final rate depends on qualifications, prior experience, and geographic location).
