Overview
This role is for an Associate Commercial Counsel to join a commercial contracts team with a technology-industry focus. Responsibilities include drafting, reviewing, and negotiating a high-volume caseload of technology and commercial agreements, supported by AI-enabled workflows and senior attorneys.
Responsibilities
- Draft, review, and negotiate a high volume of technology and commercial agreements, including SaaS, vendor, licensing, and partnership agreements.
- Identify negotiation risks that matter most, and determine which terms are worth pushing versus deprioritizing.
- Build increasing ownership of matters end to end, from intake through execution, as your track record develops.
- Use the firm’s AI legal technology daily to speed up drafting, review, and issue-spotting without sacrificing quality.
- Advise clients directly on commercial risk and contract strategy, communicating clearly and with appropriate urgency.
- Translate legal and commercial complexity into plain-language guidance for business stakeholders.
- Communicate and collaborate effectively with senior counsel when escalation or guidance is needed.
- Contribute ideas to improve how the team uses AI and other tools in day-to-day workflows.
- Over time, develop greater autonomy and take on increasing complexity, with a clear path toward more senior commercial counsel work.
Requirements
- JD from an accredited law school with active bar membership in good standing.
- 3+ years of experience in commercial contracts, technology transactions, or another drafting-heavy practice area.
- Law firm experience preferred, but open to other backgrounds, including in-house, legal tech, or associates from other drafting-heavy practices (e.g., real estate, finance) who want to retool into commercial and technology contracts.
- Genuine interest in the technology industry (and, ideally, exposure to it).
- Experience using AI and technology as part of your own practice is required.
- Comfortable moving quickly without sacrificing quality; able to distinguish real risk from noise.
- Strong written and verbal communication skills, including comfort advising business stakeholders directly.
- Self-directed with strong collaborative instincts; know when to involve senior counsel.
Preferred Qualifications
- Experience in law firm work, in-house roles, legal tech, or other drafting-heavy practices with a demonstrated interest in retooling into commercial and technology contracts.
- Experience improving legal intake, playbook, or contracting process.
- A vertical or subject matter area you would like to help grow.
Compensation & Benefits
- Base Salary: $150,000 - $210,000 per year, commensurate with experience.
- Health and dental insurance fully covered, with partial subsidies for dependents.
- 401(k) with 5% employer match.
- Training and development stipend, plus structured mentorship and a defined path for growth into more senior commercial counsel work.
- Open to additional benefits that meaningfully support productivity and wellbeing.
