Overview
This role is part of the organization’s Legal team and focuses on end-to-end contract support for the Supply function. The position plays an active, hands-on role across the full commercial contract lifecycle—drafting, redlining, negotiation, execution, and the systems and templates that keep contracting running efficiently.
Responsibilities
- Serve as the primary legal point of contact for the Supply team on imaging center agreements, diagnostic services agreements, vendor and services agreements, and related amendments, assignments, and renewals.
- Draft and redline agreements using company templates, and review counterparty drafts against standard positions; flag deviations and recommend fallbacks.
- Negotiate counterparty redlines, with particular focus on:
- Liability caps and indemnities
- Data and privacy terms
- Termination and renewal mechanics
- Payment terms
- Escalate material issues with clear analysis and recommended options.
- Prepare and negotiate business associate agreements and data processing agreements, including structures that run across multiple affiliated professional corporations.
- Own the NDA process end to end (intake through execution), identifying when an NDA is truly standard and when it contains hidden issues such as non-solicits, residuals clauses, or overbroad definitions.
- Administer the contract lifecycle management platform (LawVu), including designing and building intake forms, workflows, approval routing, and automations for review, signature, and post-signature obligations.
- Build and maintain template libraries and negotiation playbooks, including merge fields and conditional logic to ensure accurate agreement generation and more consistent, faster reviews.
- Train business users on the contracting system and contracting policies, including signature authority and execution process.
- Support healthcare regulatory compliance initiatives, including HIPAA and state privacy laws, the federal and state anti-kickback statutes, Stark, corporate practice of medicine, and fee-splitting—translating requirements into contract terms and workflows.
- Track open issues, negotiation history, key dates, NDA volume, and turnaround; identify opportunities to reduce routine dependence on Legal.
Requirements
- J.D. from an accredited law school.
- Active bar membership in good standing in any U.S. state.
- Solid commercial contracting experience, with the ability to run matters with limited oversight and a track record of independent matter management.
- Strong drafting and redlining skills, including comfort with Word and Google Docs tracked changes and comments.
- Sound commercial judgment (knowing which points to fight for and which to trade).
- Clear, direct writing and the ability to explain legal risk to non-lawyers in practical terms.
- Excellent organization and the ability to manage many matters at once and follow through without being chased.
Preferred Qualifications
- Healthcare legal experience such as HIPAA, BAAs, AKS/Stark, corporate practice of medicine, or work with provider organizations, health systems, payors, or health tech.
- Hands-on experience administering a CLM or legal workflow tool (LawVu, Ironclad), building template automation, or using e-signature platforms such as DocuSign.
- A builder’s mindset, with comfort in fast-paced environments and interest in creating processes as the organization scales.
AI Requirements
- Expected to be AI-amplified, using AI as part of daily workflow for drafting, analysis, and research, with the ability to check outputs and use it responsibly with sensitive data.
- AI is part of daily default workflows, including drafting, analysis, research, and pressure-testing thinking.
- Can provide concrete examples where AI made work meaningfully faster or better.
- Understands AI failure modes and verifies work; does not paste sensitive data into public tools.
- Assessment will include walking through how you would use AI to tackle a real task from the role.
