Overview
This role is for an experienced Corporate Counsel, Commercial Contracts, based in Nashville, TN and/or Fremont, CA, with remote arrangements may also be considered.
The position serves as a strategic legal partner to business leadership, providing pragmatic, solutions-oriented counsel on complex commercial transactions, drafting and negotiating key agreements, and supporting sound risk management across the organization. The ideal candidate brings deep commercial contracts experience, strong executive presence, and the ability to operate as a hands-on legal generalist in a fast-paced, technology-driven environment.
Responsibilities
- Partner with business unit leadership to provide sound legal advice and risk mitigation measures to support successful business outcomes
- Draft and negotiate commercial agreements and ancillary agreements
- Build positive relationships with internal teams and provide authoritative legal guidance to the legal commercial team and other business partners
- Collaborate to identify and implement process improvements; support updates to internal playbooks and templates
- Manage internal SLAs and juggle priorities in a fast-moving environment
- Own specific legal projects and develop subject matter expertise for issues faced by the customer contracts team and internal business partners
- Review solicitations, develop strategies for responses, and draft sections addressing particularly legal topics
- Select and manage outside counsel when needed
- Assist commercial contracts personnel with complex or risk-sensitive terms and conditions, including limiting liability, indemnification, and grounds for termination
- Participate in and contribute to Legal Department discussions on corporate-wide topics, policies, and procedures
- Participate in and contribute to Legal Department updates on changing laws and regulations and continuing education
Requirements
- Juris Doctorate from an accredited Law School
- Licensed to practice law in the United States and active membership in at least one state bar
- Minimum of 6–8 years of legal experience (may include a combination of law firm and in-house roles)
- Experience advising executive clients on business and transactional matters (contracts, agreements, business strategy)
- Demonstrated leadership ability, preferably as counsel for a business segment of a technology-driven company
- Ability to perform the role of hands-on legal generalist
- Demonstrated ability to interact effectively and collaboratively in a fast-paced, complex organizational structure
- Strong interpersonal and communication skills
- Ability to analyze complex issues and provide executive-appropriate recommendations
- Ability to develop strong client relationships while maintaining independence appropriate to a compliance function
- Strong communication skills (written and oral)

- Experience as counsel for a business segment of a technology-driven company
Compensation & Benefits
- Pay is based on market location and may vary depending on factors including experience, skills, education, and other job-related reasons.
- For candidates located in California: annual salary range is $175,000.00 to $200,000.00.
- Compensation ranges for other locations, including Tennessee, may differ based on the applicable market.
