Overview

A leading global provider of enterprise software support and managed services is seeking a Corporate Counsel to join their North American (NAMER) Transactions legal team. This is a remote position based anywhere in the United States.

Responsibilities

  • Draft, review, negotiate, and close a variety of commercial contracts including master services agreements, statements of work, amendments, vendor service agreements, and licensing agreements.
  • Collaborate closely with cross-functional teams such as Sales, Finance, Ethics & Compliance, Intellectual Property, and Service Delivery to ensure transactions align with company policies and business objectives.
  • Provide legal advice and support as needed to facilitate business operations.

Requirements

  • Minimum of 5 years of relevant experience as a commercial transactions attorney, either in private practice, in-house, or a combination of both.
  • Juris Doctor degree from an accredited American law school.
  • Current license to practice law in the employee’s state of residence.
  • Exceptional written and verbal communication skills.
  • Strong analytical and problem-solving abilities.
  • Sound judgment and decision-making skills.
  • Ability to effectively interface with internal and external stakeholders, including senior executives.
  • Ability to work independently and collaboratively.

Preferred Qualifications

  • Experience supporting internal sales organizations and commercial deal processes.
  • Familiarity with legal issues related to artificial intelligence, machine learning, or other emerging technologies in commercial transactions or product counseling.
  • Experience handling intellectual property and technology-related matters.
  • Background working in technology or technology-adjacent companies.

Compensation & Benefits

  • Salary range: $127,000 to $159,000, depending on skills, experience, and location.
