Remote · US Contract
Est. $85K – $125K/yr

Overview

This role supports the end-to-end sales contracting process for a language technology platform serving healthcare, legal, government, and enterprise clients. Reporting to the VP of Legal & Compliance, you will draft, redline, and negotiate a high volume of sales agreements against tight SLAs while partnering closely with Sales, Deal Desk, Rev Ops, Finance, Security, and Compliance.

Responsibilities

Contract Lifecycle Management

  • Own full-cycle drafting, review, and negotiation of sales contracts—including MSAs, SOWs, Order Forms, DPAs, BAAs, NDAs, and amendments—from initial draft through execution.
  • Manage a high-volume contract pipeline against defined SLAs, prioritizing and triaging based on deal urgency, size, and complexity.
  • Redline incoming customer paper against the contract playbook and fallback positions, flagging material deviations for escalation.

Negotiation & Problem-Solving

  • Serve as the primary point of contact for Sales and customers on contract terms, driving negotiations to close.
  • Identify contractual blockers early and proactively propose alternative language or structures that satisfy both risk tolerance and commercial goals.
  • Use sound judgment to determine what is truly non-negotiable versus what is flexible, including when to hold, when to compromise, and when to escalate.

Process & Cross-Functional Coordination

  • Maintain and continuously improve the contract playbook, templates, and fallback clause library.
  • Track contract status, turnaround times, and bottlenecks; report on volume and SLA performance to the VP of Legal & Compliance.
  • Partner with Deal Desk and Finance on pricing, billing terms, and revenue recognition implications of contract language.
  • Coordinate with Security and Compliance on data protection terms, BAAs, and SOC 2 Type II-related terms for regulated customers (including healthcare and language access accounts).
  • Support contract lifecycle management (CLM) tooling and workflow improvements to increase throughput as deal volume scales.

Risk & Compliance

  • Ensure contracts comply with company policy, applicable law, and industry-specific requirements, including HIPAA/BAA obligations for healthcare and language access customers.
  • Maintain organized, audit-ready contract records and metadata in support of the broader compliance program.

Requirements

Minimum Qualifications

  • J.D. or paralegal certification/degree, with 1–4 years of relevant contract drafting and negotiation experience (in-house, law firm commercial practice, or a paralegal role supporting a commercial legal team).
  • Demonstrated experience managing a high volume of commercial contracts in a fast-paced, deadline-driven environment.
  • Extraordinary attention to detail.
  • Strong written and verbal communication skills, including the ability to explain legal terms in plain language to non-legal stakeholders.
  • Pragmatic, creative problem-solving—able to find acceptable middle ground rather than becoming stuck on positions.
  • Comfort operating with ambiguity and competing priorities; confidence making judgment calls within delegated authority.
  • Proficiency with contract lifecycle management (CLM) tools and redlining in Word/Google Docs (track changes fluency is required).

Preferred Qualifications

  • SaaS or technology industry experience, particularly subscription/usage-based commercial models.
  • Familiarity with data privacy and security terms (DPAs, BAAs, SOC 2-related provisions).
  • Experience supporting a Sales or Deal Desk function directly, with an understanding of sales cycle pressure and SLA-driven workflows.
  • Prior experience building or refining contract templates and playbooks.

Compensation & Benefits

  • Competitive compensation and robust benefits offerings, including a 401(k) plan with match.
  • Flexible PTO.

Location

  • Hybrid/Remote working arrangements.
