Overview
A remote position is available for a Mid-Level In-House Counsel with 5-7 years of experience in contract drafting, negotiation, litigation management, and providing general legal support across various departments. The role requires in-house legal experience, strong business acumen, knowledge of corporate structures, and an interest in technology products. This opportunity involves working closely with senior legal staff in a corporate environment.
Responsibilities
- Draft, review, and negotiate a variety of contracts including SaaS and product agreements, vendor agreements, service contracts, data acquisition and licensing agreements, and non-disclosure agreements.
- Implement process improvements to streamline contract workflows from sales through operations.
- Ensure contracts comply with company policies and legal requirements.
- Support supply chain, sales, and corporate functions in contracting processes and procedures.
- Identify risks and rewards associated with supply chain products and services.
- Advise corporate functions on enforceability, options, and risks related to potential contract disputes.
- Collaborate with product development to draft sales agreements for new products.
- Conduct legal research to support contract negotiations and resolve legal issues.
- Stay informed on relevant laws, regulations, and industry trends impacting the organization.
- Work closely with internal stakeholders including procurement, finance, HR, and operations to provide legal guidance on contract matters.
- Communicate effectively with external parties during negotiations.
- Provide cost-risk analysis and conflict resolution support to stakeholders.
- Assist in developing and implementing compliance programs and policies.
- Ensure adherence to legal and regulatory requirements across the organization.
- Manage resolution processes for basic contract disputes and unpaid fees.
- Develop litigation strategies and manage outside counsel through litigation.
- Support other legal matters including human resources, immigration, licensing, privacy, and employment law.
- Prepare legal documents and filings as needed.
- Provide legal advice and monitor pre-litigation business disputes.
- Develop and implement legal and commercial strategies.
- Interface with outside legal counsel to reduce operational risks and manage litigation.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the bar in any jurisdiction and eligibility to practice as in-house counsel in Texas.
- 5-7 years of experience in contract drafting and negotiation, preferably in-house.
- Strong understanding of contract law and legal principles.
- Ability to draft contracts independently and a strong interest in contract review and writing.
- Strong business judgment and financial risk assessment skills.
- Excellent interpersonal, written, and verbal communication skills.
- Experience managing litigation and negotiating disputes and settlements prior to outside counsel involvement.
- Detail-oriented with strong analytical and problem-solving abilities.
- Ability to work collaboratively in a fast-paced environment and manage multiple priorities.
- Experience in risk management and managing outside counsel.
- Commitment to high ethical and professional standards with discretion and confidentiality.
