Senior Attorney – Startups, VC & Emerging Companies (Fully Remote)

This role involves serving as a senior corporate attorney focused on high-growth startups and modern businesses. The position requires deep experience in venture capital financings and emerging company legal matters, with opportunities to work across a broad range of strategic legal issues.

Responsibilities

• Lead venture financings including SAFEs, convertible notes, and preferred stock from term sheet negotiation through closing, including interactions with investors and counsel
• Advise on startup structuring such as company formations, founder equity splits, intellectual property assignments, holding companies, and capitalization table planning
• Provide guidance on corporate governance and equity matters including restricted stock, option plans, 83(b) elections, and investor onboarding
• Serve as outside general counsel handling day-to-day legal matters, board governance, employment issues, and commercial contracts, balancing legal risk with business strategy
• Adapt to evolving client needs by learning new verticals and areas of law

Requirements

• Juris Doctor (JD) from an accredited law school
• Minimum 5 years of corporate legal experience with significant focus on venture capital financings and emerging companies
• Training at a Big Law firm or elite boutique with substantial exposure to venture capital transactions (company-side or investor-side), emerging company work, and/or mergers and acquisitions
• Active attorney license in good standing
• Ability to independently manage matters and client relationships
• Comfortable working in fast-paced early-stage company environments and fluent in founder-focused communication
• Willingness to advise across a wide range of legal matters and learn new areas as needed
• Business-first mindset: practical, fast-moving, and solution-oriented
• Interest in contributing to the development of a new type of law firm

Preferred Qualifications

• Experience with mergers and acquisitions, secondary sales, or complex capital events
• Familiarity with technology tools used in legal practice
• Interest in productizing legal services or leveraging technology and AI-enabled delivery methods
