Senior Commercial Counsel

Overview

A fast-growing technology company is seeking a Senior Commercial Counsel to join their legal team. This role supports the organization’s high-growth environment by partnering with cross-functional teams to provide legal solutions that enable business objectives while managing risk.

Responsibilities

• Lead drafting, reviewing, and negotiating revenue-generating commercial contracts with customers.
• Collaborate with Sales, Information Security, Product, and Content teams to support company goals.
• Develop and enhance contract playbooks to scale the legal function.
• Provide legal and strategic advice to ensure agreements align with internal policies and processes.
• Stay informed on relevant laws, regulations, and industry guidance affecting commercial agreements.

Requirements

• Juris Doctor (J.D.) degree from a top law school.
• Admission to practice law in at least one jurisdiction.
• Minimum of 5 years’ experience drafting, reviewing, and negotiating commercial software and technology subscription agreements.
• Experience managing a high volume of commercial contracts, including Master Services Agreements, Statements of Work, Order Forms, Data Processing Agreements, and AI Addenda.
• Strong negotiation skills with the ability to support firm positions patiently and creatively drive deals to close.
• Business-friendly and pragmatic approach balancing legal risk.
• Effective communication and relationship-building skills, comfortable working directly with stakeholders.

Preferred Qualifications

• Combination of law firm and in-house experience.
• Prior experience in technology companies, particularly involving AI, data privacy, information security, intellectual property, or financial services.

Compensation & Benefits

• Base salary range: $170,000 to $200,000 USD.
• Potential for performance-based bonus and equity.

Location

• Position can be based in New York, NY headquarters or remote within the USA.
• Preference for candidates in the Eastern Time zone.
• Eastern Time working hours are required regardless of location.
