Senior Corporate Associate / Corporate Counsel – New York

Overview

A leading national law firm is seeking a Senior Corporate Associate or Corporate Counsel to join their New York office. This role involves working on sophisticated, high-value transactions such as mergers and acquisitions, joint ventures, venture capital and start-up matters, growth equity and minority investments, and other strategic transactions within a nationally recognized M&A practice.

Responsibilities

• Advise clients on joint venture transactions, including acquisitions through real estate joint ventures.
• Provide counsel to corporations, not-for-profits, REITs, limited liability companies, and partnerships on operational, compliance, and strategic matters.
• Handle portfolio acquisitions, securities offerings, and acquisitions and dispositions of property holdings.
• Draft and negotiate complex transactional documents with exceptional skill.
• Deliver practical, business-focused solutions and work comfortably with entity structures at all levels of the capital stack.

Requirements

• Minimum of 6 years of meaningful corporate transactional experience.
• Strong drafting, negotiation, and analytical skills for complex transactional documents.
• Deep knowledge of joint venture transactions and related matters; proficiency in tax law is a plus.
• Excellent communication and client-management skills.
• Experience at a top law firm preferred.
• Admission to the New York Bar is required.

Compensation & Benefits

• Salary range: $350,000 to $380,000 (applicable for New York-based roles).
