Overview
A leading organization in the Enterprise Technology sector is seeking a Senior Corporate Counsel to join their team. This role involves supporting high-impact legal work that directly contributes to business performance and team success. The position requires collaboration across functions to advance priorities, solve complex problems, and deliver measurable outcomes. It offers the opportunity to influence both strategic direction and day-to-day execution in a fast-paced environment.
Location: Remote (U.S. based candidates only; no visa sponsorship available)
Compensation: $150,000 – $200,000 annually
Responsibilities
- Design and implement a corporate governance framework to prepare for an IPO
- Manage legal workstreams to identify risks and prepare for due diligence events
- Lead Board and Committee processes, including collaboration with executives on agendas and minutes
- Serve as lead counsel for mergers and acquisitions, joint ventures, and strategic investments throughout the deal lifecycle
- Support capital markets activities such as financing rounds and debt negotiations
- Oversee international expansion efforts, ensuring compliance and entity formation in new markets
- Partner with Human Resources on executive compensation and global equity plans, including tax implications
Qualifications
- Juris Doctor (J.D.) degree with 6+ years of experience in Capital Markets and M&A at a Tier 1 law firm and in-house at a late-stage technology company
- Proven experience in transitioning companies from private to public, ideally having participated in an IPO or multi-billion dollar exit
- Deep expertise in corporate law, SEC reporting, and equity plan management, with familiarity in both software and hardware business models
- Experience managing multinational corporate structures and addressing Permanent Establishment risks during rapid expansion
- Exceptional judgment in providing business-oriented legal advice, balancing speed and accuracy
- Proactive and entrepreneurial mindset, eager to build a legal function from the ground up
Preferred Skills and Experience
- Knowledge of corporate governance and compliance management systems
- Familiarity with due diligence processes and corporate legal operations tools such as contract management software
- Experience with tax management software relevant to multinational operations
