Overview
This fully remote Senior Corporate Counsel II role supports an in-house legal team with a principal emphasis on commercial contracting for R&D, Drug Product, and Manufacturing business units. The position provides legal advice and day-to-day transaction support to internal stakeholders, with high visibility across the organization.
The work includes drafting and negotiating contracts with customers globally and advising Sales and Operations on commercial issues, while also contributing to broader Legal Department initiatives.
Responsibilities
- Partner with Small Molecule R&D and Manufacturing and Drug Product business units (including Sales Directors, VPs, and BU Presidents) on primarily contracting/transaction matters; scope may vary based on experience and legal department project allocation
- Negotiate high-value, complex, long-term contracts with customers and suppliers, supporting business growth objectives while mitigating risk exposure
- Participate in designing and negotiating business deals in partnership with Sales colleagues
- Identify business issues in customer and vendor contracts and advise internal clients to support informed judgment calls
- Provide strategic advice and legal counsel on disputes and contract interpretation issues
- Collaborate with business development, IT, finance, tax, scientific, procurement, regulatory, quality, and other internal stakeholders in support of business and operations
- Provide periodic training to Sales staff on negotiation strategies, contracting parameters, and relevant legal issues
General Legal Matters and Initiatives
- Support the General Counsel, Legal Department Leadership Team, and other Legal Department members on a variety of matters
- Assist with development and implementation of legal and cross-functional initiatives to streamline and optimize legal functions, including the contracting process
- Advise on general legal matters
Requirements
- J.D. from an accredited law school and licensed to practice in a U.S. jurisdiction
- Minimum of 6 years of relevant experience at a leading law firm and/or in-house legal department (or combination), preferably in the life sciences or pharma industry, or other provider of R&D / manufacturing services
Preferred Qualifications
- Significant experience drafting and negotiating complex contracts in a business setting, involving various risk profiles and intellectual property considerations
- Ability to find creative solutions to complex problems by leveraging prior experience and expertise

- Ability to independently and efficiently handle complex, contested negotiations with customers and suppliers
- Strong business and legal acumen, including the ability to quickly identify legal and business issues; balance risks; and devise and articulate creative and practical solutions for internal and external audiences in a time-sensitive global environment
- Excellent communication skills (verbal and written), including the ability to explain legal issues clearly
- Solid negotiation skills
- Strong work ethic; ability to multi-task and manage a high-volume workflow

Compensation & Benefits
- Pay Range: $165,000-$170,000/year
- Education, experience, location, and tenure may be considered along with internal staff equity when job offers are extended
