Overview

This role involves serving as Senior Counsel, reporting to the General Counsel and acting as a key legal partner to product and commercial teams within a digital health organization focused on heart health. The position requires balancing legal advisory responsibilities related to product development, AI/ML features, and regulatory compliance with negotiating commercial agreements involving health plans, employers, partners, and vendors.

Responsibilities

  • Draft, review, and negotiate a variety of commercial agreements including health plan and employer agreements, partnership agreements, data agreements, master service agreements (MSAs), business associate agreements (BAAs), non-disclosure agreements (NDAs), and technology licensing agreements.
  • Advise product and engineering teams on legal considerations related to mobile applications, FDA-cleared devices, and AI/ML-driven features, providing legal risk assessments based on regulatory guidance.
  • Draft and advise on product-facing legal materials such as terms of service, user agreements, disclaimers, and in-product disclosures to support product development and mitigate legal risk.
  • Review, negotiate, and manage vendor and supplier agreements including SaaS subscriptions, professional services agreements, and technology procurement contracts; support vendor onboarding and risk assessment processes.
  • Support compliance efforts related to HIPAA, FDA, FTC, CMS, and HHS OIG requirements in connection with product design and commercial arrangements.
  • Collaborate with internal stakeholders to build and maintain efficient legal processes, including playbooks, templates, and self-help workflows.
  • Provide day-to-day legal counseling to commercial and product teams, identifying and mitigating legal risks while advancing business objectives within regulatory parameters.
  • Monitor developments in digital health law and regulation, including AI in healthcare, telehealth, Medicare, and Medicaid, supporting compliance and legal teams.
  • Support special projects, investigations, and new business initiatives as needed.
  • Assist with managing outside counsel on discrete matters.

Requirements

  • Minimum 5 years of legal experience with a mix of transactional work and product counseling, including advising on regulatory risk.
  • Prior law firm experience required; in-house experience in healthcare, digital health, or medical devices preferred.
  • Experience advising on product and technology matters, including data privacy, AI/ML, intellectual property, and FDA-regulated products, based on regulatory requirements.
  • Proven track record drafting and negotiating commercial agreements of varying complexity.
  • Experience negotiating SaaS, technology, and vendor procurement agreements.
  • Familiarity with key regulatory frameworks in digital health such as HIPAA, FDA, FTC, and CMS sufficient to identify issues requiring compliance involvement.
  • Strong judgment in identifying risks and developing practical, business-oriented solutions.
  • Highly organized with the ability to prioritize multiple matters in a dynamic environment.
  • Collaborative team player willing to handle a wide variety of legal and business needs.
  • Growth-minded with the ability to rapidly absorb new information and receive feedback.
  • Excellent written and oral communication skills effective in a distributed environment.
  • Juris Doctor (JD) from an accredited U.S. law school; licensed and in good standing with a state bar.

Preferred Qualifications

  • Experience with government health programs such as Medicare Advantage and Medicaid.
  • Exposure to telehealth regulatory issues.
  • Experience building legal processes, templates, or playbooks at a startup or high-growth company.
  • Familiarity with the federal Anti-Kickback Statute, Stark Law, or other fraud and abuse regulations applicable to digital health companies.

Compensation & Benefits

  • The U.S. base salary range for this full-time position is $215,000 to $235,000 annually.
  • Salary ranges are determined by role and level, with compensation influenced by job-related skills, experience, and relevant education or training.
  • Compensation details reflect annual salary and bonus only; equity and benefits are not included in this range.
