Overview

A growing technology company focused on modernizing parking real estate is seeking a hands-on Senior Legal Counsel to establish and lead its legal function. This role involves partnering closely with executive leadership across multiple departments to manage legal risks, enable business growth, and support complex operational and strategic initiatives.

Responsibilities

  • Draft, negotiate, and close commercial contracts with property owners, vendors, partners, and technology providers.
  • Develop and maintain scalable contract templates, playbooks, and processes to empower sales and operations teams.
  • Support mergers and acquisitions, including due diligence, drafting and negotiating purchase agreements, and post-close integration.
  • Assist with direct real estate acquisitions, including entity structuring, title review, zoning, and financing documentation.
  • Manage multi-state regulatory and permitting compliance across 40+ states, proactively identifying and mitigating risks.
  • Oversee data privacy policies and compliance related to license plate recognition, camera systems, and driver data, ensuring adherence to relevant laws.
  • Manage intellectual property portfolio, including trademarks, patents, and trade secrets, coordinating with outside counsel.
  • Provide employment law counsel across multiple states, including offer letters, terminations, contractor classification, and policy compliance.
  • Coordinate with outside counsel for litigation, complex transactions, and specialized regulatory matters.
  • Support fundraising efforts, corporate governance, cap table management, and board matters.
  • Build and refine legal operating systems, including contract lifecycle management and approval workflows.
  • Serve as a trusted business partner to leadership, facilitating fast and safe decision-making.

Requirements

  • Experience as the sole or primary legal counsel in a high-growth or lean legal team environment.
  • Ability to balance strategic thinking with detailed execution, handling both complex deals and routine contract reviews.
  • Proven transaction experience, including multiple M&A deals at growth-stage companies.
  • Familiarity with multi-state operations and the regulatory landscape affecting physical assets and services.
  • Strong expertise in commercial contracts such as MSAs, SOWs, licensing, revenue-share, partnership, and vendor agreements.
  • Knowledge of data privacy regulations, especially related to cameras, license plate recognition, and location data.
  • Excellent communication skills with the ability to translate legal risks into business terms.
  • Experience building legal playbooks, templates, SOPs, and contract management systems.
  • Bias for action with a focus on enabling business speed and confidence.
  • Strongly preferred: background in real estate or proptech, experience with roll-up or multi-unit acquisition strategies, and California bar admission.

Important Considerations

  • This is a solo in-house legal role requiring hands-on work and ownership of all legal matters.
  • The role demands flexibility to handle both strategic and operational legal tasks, including unglamorous work.
  • The legal function is intended to be a business enabler, not a gatekeeper.
  • The company operates in 40+ states with a novel business model, requiring comfort with ambiguity and independent judgment.
  • The role covers a broad range of legal areas including contracts, M&A, compliance, employment, privacy, and governance.

Work Environment and Travel
