Overview

This role serves as the primary commercial resource for the sales team and as the front line for legal intake and triage. The Commercial Contracts Specialist drafts, reviews, redlines, and negotiates customer and vendor agreements to keep deals moving while managing commercial and contractual risk. You will also own the intake and triage process for legal matters across the business, determining what can be handled internally versus what requires outside support, and managing the panel of outside counsel and advisors engaged to support the organization.

The position combines hands-on commercial contract work with legal operations responsibility, supporting both contract execution and broader legal-operations decisions.

Responsibilities

Commercial Contracts

  • Draft, review, redline, and negotiate customer agreements and, as needed, vendor agreements in collaboration with relevant business leaders.
  • Own non-disclosure agreement (NDA) letters and wording.
  • Serve as the primary commercial resource for the sales team by reviewing contractual terms and conditions, providing feedback on how they compare to terms reviewed for similar situations, and recommending changes to improve the organization’s position in negotiations.
  • Manage contract risk across the customer and vendor contract portfolio.
  • Monitor and proactively manage existing vendor agreements, ensuring they are renewed in an orderly and considered fashion with a focus on maximizing value.
  • Identify opportunities to improve performance and drive business results across the vendor portfolio.

Legal Operations

  • Select and engage outside firms and individual attorneys for matters requiring outside support.
  • Manage the panel of external counsel, IP counsel, and insurance brokers.

Requirements

  • 5+ years’ experience drafting, reviewing, redlining, and negotiating commercial agreements.
  • Bachelor’s degree, or equivalent practical experience gained through a contracts, procurement, or legal-support career path; formal legal qualification is not required.
  • Demonstrated ownership of customer-side agreements end to end, including NDAs, order forms, master services or subscription agreements, and associated schedules.
  • Experience negotiating vendor, supplier, or procurement agreements and managing renewals across a contract portfolio.
  • Experience acting as the primary commercial contact for a sales organization in a fast-moving, target-driven environment.
  • Experience instructing and working with outside counsel or external advisors on matters outside internal capability.

Preferred Qualifications

  • Depth of commercial contracting practice built in an in-house legal, deal desk, or procurement function, with exposure to a recognised contracting methodology or playbook.
  • Experience in B2B SaaS or another high-growth technology business with a subscription revenue model.
  • Familiarity with contract lifecycle management and e-signature tooling (for example Ironclad, Ivalua, DocuSign, or Conga), and with reporting on contract cycle-time metrics.
  • Working knowledge of data protection and information security terms, including GDPR, UK GDPR, and US state privacy laws.
  • Experience negotiating with counterparties across both US and UK/EMEA jurisdictions.
  • Experience building contract playbooks, templates, and self-serve processes that reduce legal bottlenecks.
  • Exposure to legal operations activities such as outside counsel panel management, spend tracking, or insurance renewals.

  • Starting pay is determined by factors including location, skills, experience, market conditions, and internal parity. Salary/Total Cash Compensation (TCC) is one component of the Total Rewards package.
  • Unlimited Paid Time Off (flexible PTO policy based on trust).
