Commercial Counsel

Overview

This role involves serving as the primary legal counsel responsible for all US commercial matters within a growing technology organization specializing in AI-driven customer intelligence solutions. The legal professional will work directly with business teams, leading negotiations on strategic deals and managing compliance issues.

Responsibilities

• Serve as lead counsel on US commercial agreements and compliance matters.
• Draft, review, and negotiate a wide range of commercial contracts, including complex SaaS agreements, vendor contracts, and partnership agreements.
• Collaborate cross-functionally across the organization to analyze legal risks.
• Work closely with a global legal team across multiple time zones.
• Resolve commercial disputes through negotiation, mediation, or litigation.

Requirements

• Juris Doctor (JD) or Master of Laws (LL.M.) degree from an accredited law school.
• Active membership in the bar of at least one US state.
• 4–7 years of relevant experience as a commercial lawyer, with in-house legal experience required; additional law firm experience is a plus.
• In-depth knowledge of contract law, commercial law, and corporate law.
• Excellent written and verbal communication skills, capable of conveying complex legal concepts clearly in fully remote work environments.
• Proven negotiation skills with a track record of successfully closing commercial deals.
• Experience working in a fast-paced, dynamic business environment managing multiple priorities effectively.
• Prior experience in a startup technology company is strongly preferred.
• Highly independent and proactive, able to identify issues and drive matters forward with limited oversight.
• Comfortable using digital collaboration tools such as Slack, Salesforce, and Zoom as primary communication channels.

Preferred Qualifications

• Experience working with highly regulated organizations.
• Familiarity with AI-driven customer intelligence or SaaS business models.
