This role involves commercial legal work for a healthcare technology organization. The Commercial Counsel will join the Legal & Compliance Team and serve as a go-to legal partner to growth, client management, sales, strategic partnerships, and vendor contracting teams. Responsibilities span the full lifecycle of complex deals—from structuring through signature—while helping shape playbooks, templates, and AI-enabled legal workflows.

Responsibilities

  • Commercial Transactions: Structure, draft, and negotiate complex sales, vendor, and strategic partnership agreements, including Master Services Agreements (MSAs), HIPAA Business Associate Agreements (BAAs), license agreements, and consulting agreements.
  • Deal Ownership: Own a portfolio of assigned matters from intake through execution, manage competing deadlines, and partner with product, privacy, and compliance legal colleagues for specialist support.
  • Business Counseling: Advise sales, finance, procurement, and business development teams on deal structures and commercial terms, including AI, technology licensing, data rights, and go-to-market activities.
  • Technology, Ops, & AI Enablement:
    • Partner with legal colleagues to continuously improve standard contract templates (MSA, BAA, NDA, Order Form, and Service Descriptions) and ensure they remain streamlined and written in plain English.
    • Collaborate with Legal & Compliance Operations to maintain and improve contract templates, playbooks, CLM tools, and contracting workflows.
    • Use approved technology and AI tools to improve drafting, contract review, and access to contract information—while maintaining confidentiality, accuracy, and adherence to team guidance.
    • Measure and share results (e.g., cycle time and business self-service).
  • Team Contribution: Help advance the Legal & Compliance function as an effective, respected, and valued resource.
  • Regulatory & Product Collaboration: Collaborate with Legal Product, Regulatory, and Compliance colleagues to incorporate relevant product and regulatory updates into agreements, templates, and guidance.
  • Knowledge Sharing: Share practical learnings, business direction, and market insights; seek and incorporate feedback; support onboarding and development of colleagues as appropriate.
  • Outside Counsel Collaboration: Work with specialized outside counsel and supplemental legal resources, with attention to quality and budget.
  • Travel: Periodic travel to New York and other locations for company and team meetings.

Required Skills & Experience

  • JD degree from an accredited law school and license in good standing to practice law in at least one state bar.
  • 4–6 years of relevant legal experience at a leading law firm and/or in-house (a combination is a plus), including substantial experience drafting and negotiating technology transactions and enterprise SaaS agreements.
  • Legal Operations & AI fluency: Hands-on experience improving how legal work gets done (e.g., building playbooks or clause libraries, configuring workflows, using AI tools for drafting and contract review) with sound judgment on how to use tools inside and outside the legal team.
  • Adaptability and growth mindset: Thrives with shifting priorities and ambiguity; asks questions, incorporates feedback, learns new areas, and experiments with practical and AI-enabled improvements to legal workflows. Previous experience in technology or high-growth companies is preferred.
  • Negotiation and communication skills: Experience leading commercial negotiations with sophisticated organizations and partnering with senior counsel on novel, unusually complex, or material risks. Ability to explain complex terms and tradeoffs clearly; develop pragmatic solutions; negotiate convincingly; manage multiple matters with competing deadlines.
  • Drafting excellence: Strong contract drafting skills, including drafting in plain English and writing clear legal guidance business partners can apply. Experience improving contract templates and playbooks.
  • Business and legal judgment: Strong ability to spot product and commercial risks, weigh business objectives, and recommend pragmatic solutions. Comfortable making risk calls independently within established guidelines and knowing when to escalate or consult.
  • Collaborative mindset: Self-starter who owns assigned matters, follows through reliably, and builds relationships with Sales, Finance, Product, and other business partners.
