Overview

• Role: Corporate Attorney (M&A Focus)

• Compensation: $90 - $130 per hour

This contract position involves providing legal support for mergers and acquisitions, including reviewing and negotiating transaction agreements, conducting due diligence, and ensuring compliance with relevant regulations. The role requires collaboration with various internal teams to facilitate deal execution and post-merger integration.

Responsibilities

• Draft, review, and negotiate definitive agreements and related transaction documents
• Conduct legal due diligence for mergers, acquisitions, and divestitures
• Advise on corporate governance, compliance, and regulatory matters
• Coordinate with internal stakeholders to align legal strategies with business objectives
• Provide guidance on transaction structure, risk allocation, and deal terms

Requirements

• Admission to practice law in at least one U.S. jurisdiction
• Experience in mergers and acquisitions, including drafting and negotiating agreements such as SPAs and asset purchase agreements
• Knowledge of securities laws, corporate governance, and regulatory compliance
• Strong analytical and problem-solving skills with attention to detail
• Ability to work independently and manage multiple priorities in a fast-paced environment
