This contract position involves providing legal support for mergers, acquisitions, and corporate transactions. The attorney will be responsible for drafting and negotiating transaction documents, conducting due diligence, and advising stakeholders on regulatory compliance.

Responsibilities

• Draft, review, and negotiate key transaction agreements, including purchase agreements, shareholder agreements, and ancillary documents.
• Conduct legal due diligence on target companies, identifying risks and liabilities in corporate records and contracts.
• Advise on corporate governance matters related to M&A activities, ensuring compliance with regulatory requirements.
• Collaborate with cross-functional teams to structure and execute transactions efficiently.
• Provide legal guidance on deal structuring, tax implications, and post-closing integration.

Requirements

• Licensed attorney in good standing with experience in M&A transactions.
• Experience drafting and negotiating transaction documents under U.S. or relevant jurisdiction law.
• Knowledge of corporate law, securities regulations, and compliance requirements.
• Strong analytical and problem-solving skills to assess legal risks and propose solutions.
• Ability to manage multiple priorities in a fast-paced, deadline-driven environment.
