General Counsel

Overview

This role involves serving as a Fractional General Counsel providing trusted legal guidance to growing companies without the need for a full-time in-house legal team. The position supports founders, CEOs, and boards by addressing a variety of legal and commercial matters, including partnerships, investor negotiations, compliance frameworks, and intellectual property strategy.

Responsibilities

• Draft, review, and negotiate a wide range of contracts such as NDAs, commercial agreements, SaaS contracts, partnership agreements, and employment agreements
• Advise on corporate governance, board matters, and legal risk management
• Support fundraising rounds, cap table reviews, and investor documentation
• Provide counsel on employment law, intellectual property, privacy, and regulatory compliance
• Guide companies through internal policy development and legal best practices
• Oversee or coordinate with external legal counsel for specialized matters
• Assist with international legal considerations, expansion, and jurisdictional compliance
• Act as a strategic legal partner in mergers and acquisitions, licensing, or joint venture discussions

Requirements

• Proven track record in corporate, commercial, or technology-focused legal roles
• Experience working in-house, preferably in General Counsel or senior legal counsel positions
• Business-minded approach with strong communication and negotiation skills
• Comfortable advising founders, investors, and executive teams
• Familiarity with early-stage company structures, venture financing, and international compliance
• Experience in fractional, consulting, or legal advisory roles is highly valued
