Investment Funds Attorney (Remote)

Overview

Contract opportunity for an Investment Funds Attorney to provide legal support on fund formation, compliance, and transactional matters. This remote role allows work from anywhere and offers an hourly rate between $90 and $130.

Responsibilities

• Draft, review, and negotiate fund documents such as limited partnership agreements, side letters, and subscription agreements.
• Provide legal advice on regulatory compliance under securities laws, ERISA, and tax regulations.
• Conduct due diligence related to fund investments and potential conflicts of interest.
• Assist with fund closings, capital calls, and distributions.
• Monitor regulatory developments to ensure fund operations comply with applicable legal requirements.

Requirements

• Admission to practice law in a U.S. jurisdiction.
• Minimum of 3 years of experience in funds or investment management law.
• Proficiency in fund formation, compliance, and transactional documentation.
• Knowledge of securities laws, including Regulation D, Regulation S, and Rule 10b-5.
• Strong analytical and problem-solving skills with attention to detail.
