IP and Technology Transactions Attorney

Overview

The organization is seeking a talented attorney with an intellectual property and technology transactions background to join its Legal & Compliance team.

While the primary focus of this role is intellectual property and technology transactions, the scope may also extend to general corporate, employment, litigation, and other legal matters as needed. This position supports a small, highly skilled team of lawyers responsible for a wide range of commercial contracts and involves negotiating on behalf of the organization in both customer and vendor relationships. This role can be based remotely within the United States.

Responsibilities

• Draft, review, and negotiate customer and vendor agreements
• Handle technology, purchase, service, and consulting agreements
• Review RFPs and DDQs (due diligence questionnaires) as the primary representative of the Legal team
• Serve as the internal point of contact for outside counsel handling NDAs and field related questions
• Advise business team members on intellectual property matters and other legal issues, including issues related to generative artificial intelligence
• Support general corporate, employment, and litigation matters as they arise

Requirements

• Law degree and at least 3–5 years of experience in-house and/or at a law firm
• Experience reviewing and negotiating licensing, technology, and other commercial contracts (for both customers and vendors)
• Experience advising on intellectual property issues and contract interpretation
• Ability to manage competing priorities and work independently and as part of a team in a fast-paced environment
• Excellent analytical abilities, outstanding judgment, keen attention to detail, strong work ethic, and proven drafting, communication, and organizational skills

Preferred Qualifications

• Prior experience with issues relating to open-source software and/or generative artificial intelligence (plus, not required)

Compensation & Benefits

• Expected annual base salary: $170,000.00 - $200,000.00
• Compensation package includes:
  • Variable compensation in the form of a year-end bonus, guaranteed in the first year of hire

• The applicable annual base salary will be determined based on multiple factors, including without limitation the nature and extent of prior experience and educational background.
