Overview

A Lead Contract Attorney role supporting contract drafting, negotiation, and management for commercial agreements, with a focus on SaaS and technology transactions. Reporting to the General Counsel, this position handles complex and escalated matters, partnering closely with Sales, Product, Security, and Compliance to enable deal execution while balancing practical legal risk.

Responsibilities

Contract Drafting & Negotiation

  • Own end-to-end drafting, review, and negotiation of sales agreements, including SaaS subscription agreements, MSAs, and amendments; handle state and local government contracts, including RFP-driven agreements (escalate to the General Counsel only when necessary).
  • Assist on more complicated sales/technology agreements, including subcontractor, reseller, and partner agreements, as well as DPAs, security addenda, and SLAs.
  • Negotiate key risk provisions, including limitation of liability, indemnification, and insurance; data privacy, security, and breach-related terms; and confidentiality, IP, and data ownership.
  • Manage multiple concurrent contracts while maintaining consistency with organization standards and risk positions; escalate complex or high-risk matters to the General Counsel for final review.

Government Contracting Support

  • Review and respond to public sector solicitations (RFPs, RFQs, etc.).
  • Identify and escalate non-standard or high-risk government terms.
  • Support compliance with applicable procurement rules, grant requirements, and data/security obligations.
  • Analyze subcontracting and flow-down provisions in partner agreements.

Cross-Functional Collaboration

  • Partner with Sales and Finance to support deal structuring and execution (including renewals), providing practical legal guidance, resolving contract issues during negotiation, and communicating legal concepts clearly to non-legal stakeholders.
  • Provide first-pass legal support on complex sales-related matters involving Product, Security, or Compliance, with final review by the General Counsel.

Process & Risk Management

  • Contribute to contract templates, playbooks, and standard positions.
  • Track and flag recurring negotiation issues or trends, and report relevant patterns to the General Counsel.
  • Support internal compliance efforts, including data privacy and security practices.

Requirements

Required

  • J.D. from an accredited law school and active bar membership in good standing.
  • 7+ years of relevant experience, including commercial contracting in a law firm or in-house environment, with direct experience with SaaS or technology agreements.
  • Exposure to government contracting (state/local strongly preferred).
  • Strong drafting and negotiation skills, with the judgment to operate independently on complex matters.
  • Ability to manage multiple priorities and competing deadlines in a fast-paced environment.

Preferred Qualifications

  • Experience working directly with public sector clients (cities, counties, state agencies).
  • Familiarity with data privacy and security terms in SaaS agreements.
  • Familiarity with SOC 2 or similar compliance frameworks.
  • Experience with subcontracting, reseller, or partner models.
  • Comfort advising on legal issues raised by new or emerging technology and products.

Compensation & Benefits

  • Medical, Dental, Vision plan options
  • Company-paid Short-Term Disability and Life Insurance
  • 401K contributions with generous employer match and immediate vesting
  • 5 weeks of PTO
  • 9 paid holidays
  • 3 days of volunteer time off each year
