Legal Counsel (Remote)

Overview

A leading organization in the Real Estate & Construction sector is seeking a remote Legal Counsel based in the US (no visa sponsorship available). This role focuses on providing business-aligned legal guidance related to governance, compliance, and operational risk management. The position involves partnering with leadership, compliance teams, and cross-functional stakeholders to translate complex legal issues into practical recommendations that support responsible execution, improved decision-making, and sustainable growth.

Responsibilities

• Support strategic transactions including acquisitions and divestitures
• Advise on securities and corporate governance matters
• Collaborate with Finance and executive leadership on key initiatives
• Provide practical legal guidance aligned with business strategy
• Support global operations across multiple jurisdictions
• Contribute to continuous improvement of legal processes and policies
• Build trusted relationships with stakeholders across the organization

Requirements

• J.D. or LL.B. degree with Bar admission in a Canadian province
• Experience with public company disclosure obligations and securities compliance
• Proven track record in mergers and acquisitions, divestitures, or corporate transactions
• Strong business judgment to identify legal risks within commercial objectives
• Proactive, well-organized, and demonstrates an ownership mindset
• Curiosity and drive to address complex legal challenges and their business impact

Preferred Skills and Experience

• Expertise in public company disclosure obligations and corporate governance initiatives
• Knowledge of securities laws and regulatory compliance management
• Experience with transaction documents, due diligence, and contract negotiation practices
• Familiarity with corporate development, investor relations, earnings releases, equity compensation programs, and treasury activities
• Ability to assess legal and regulatory risks using risk management frameworks

Compensation & Benefits

• Annual salary range: $150,000 – $180,000
