Sr. Commercial Counsel

Overview

This role serves as a strategic advisor on commercial contracting, product launches, technology licensing, and legal issues arising from AI-enabled products and services. You will work closely with cross-functional teams and provide proactive solutions and improvements to operational processes. The position may also support international teams and contribute to other legal disciplines based on interest and business needs.

This is a fully remote position (must be based in the United States). Visa sponsorship is not provided.

Responsibilities

• Draft, review, and negotiate commercial agreements, including:
  • Software and technology licensing
  • SaaS agreements
  • Master services agreements
  • Data processing agreements
  • Customer and vendor contracts
• Provide legal counsel on the development, deployment, and commercialization of artificial intelligence and machine learning products and services, including:
  • AI governance
  • Responsible AI practices
  • Emerging AI regulation
• Identify legal risks related to new products, features, and business initiatives, and propose practical, business-oriented mitigation strategies.
• Advise on data privacy, intellectual property, and regulatory compliance issues arising from commercial transactions and technology products.
• Partner with Sales, Product, Engineering, and business teams to structure deals, support product launches, and provide day-to-day transactional support.
• Stay current on developments in AI law and data protection, proactively advising stakeholders and updating documentation as needed.
• Use AI tools and legal technology to improve productivity, decision-making, and legal service delivery.
• Collaborate with legal colleagues to support other areas based on experience and interest, such as employment law, litigation strategy, and risk management.

Requirements

• Juris Doctor with a current Bar license.
• 5 to 10 years of experience in commercial/transactional law and technology licensing.
• Experience advising on artificial intelligence, machine learning, cloud computing, data privacy, and a strong desire to build expertise in these areas.
• Strong drafting and negotiation skills across a range of commercial and technology agreements.
• Sound judgment and the ability to assess and communicate legal risk pragmatically in a fast-paced, high-tech environment.
• Excellent interpersonal skills, with the ability to build trust and influence across all levels of the organization.
• Excellent communication skills, including the ability to explain complex legal concepts in plain language to legal and non-legal audiences.
• Ability to prioritize and manage multiple assignments simultaneously while meeting deadlines, or experience working in a fast-paced, high-tech company.
• Process-oriented mindset, with a drive to improve systems, workflows, and outcomes.
• Adaptability and intellectual curiosity, with willingness to expand into new legal domains and support cross-functional initiatives.
• Collaborative team approach, comfortable working in a proactive legal department.
• Proficiency with legal technology and AI tools, and openness to innovation in legal practice.

Preferred Qualifications

• Interest in expanding into other legal disciplines (e.g., employment law, litigation strategy, risk management) based on experience.

Compensation & Benefits

• Competitive total compensation includes base pay, bonus potential, inclusive benefits, wellness programs, and perks.
• The reasonable estimate of the current annualized base pay range for this position is $160,000 to $190,000.
• Pay decisions use market and industry data, considering geography and labor markets, individual experience, and business needs.
