Overview
A technology company is seeking a Contracts and Legal Operations Specialist to manage the end-to-end contracting process, including customer, vendor, and partner agreements. This role involves leveraging AI tools for initial contract review and drafting of routine documents, then independently negotiating and closing standard agreements. Complex or high-risk matters will be escalated to legal counsel. The specialist will also maintain contract automation systems and playbooks, adapting them as business needs evolve. Collaboration with Deal Desk, Sales, Partners, Finance, Security, Privacy, Marketing, and Product teams is essential.
Responsibilities
- Draft, negotiate, and close standard commercial agreements independently, including NDAs, order forms, standard renewals, and low-risk vendor and partner agreements from initial draft to signature.
- Review and finalize AI-generated first-pass redlines and clause extraction on incoming contracts before sending to counterparties.
- Maintain and update contract automation tools and playbooks, including clause libraries and intake logic, adding new agreement types as needed.
- Manage vendor and procurement requests end to end: negotiate standard pricing and terms, track requests through Jira, and push back on unfavorable terms.
- Oversee the full contract lifecycle: intake, repository management, renewals, approvals, and terminations.
- Coach Sales teams on standard terms and redlines to enable routine deals to close without legal intervention.
- Collaborate with Sales and Deal Desk to streamline sales processes and deal cycles.
- Track and report on contract and vendor metrics.
- Triage inbound contracts and vendor requests, escalating complex, high-risk, or non-standard terms to legal counsel.
- Perform additional duties as part of a small, fast-moving legal and compliance team.
Requirements
- Minimum 2 years of experience in contracts, legal operations, or deal desk roles, preferably within a B2B SaaS environment.
- Proficient and comfortable using AI tools daily to accelerate drafting and contract review.
- Strong judgment to distinguish standard matters from those requiring legal counsel.
- Experience with Salesforce and Jira.
- Excellent organizational and time-management skills with the ability to manage volume and competing priorities.
- Adaptable to evolving processes and tooling in a developing role.
Preferred Qualifications
- Prior legal, paralegal, or compliance experience.
- Experience with Contract Lifecycle Management (CLM) platforms such as DocuSign Navigator, Ironclad, LinkSquares, or Conga.
- Familiarity with data privacy or Data Processing Agreement (DPA) concepts, including CPRA and GDPR.
- Experience in fraud, risk, or trust & safety adjacent industries.
- Hands-on experience using large language model (LLM) tools (e.g., Claude, ChatGPT) for building custom prompts, workflows, or lightweight automations.
- Previous experience working in a high-growth company.
