Senior Corporate Counsel

Overview

The organization is seeking a US-qualified attorney to lead corporate, securities, M&A, and governance legal work. This role partners closely with operational teams to provide strategic legal advice supporting global operations.

Responsibilities

• Lead global securities law matters and related compliance.
• Manage a network of global subsidiaries, including:
  • Managing subsidiary board meetings
  • Advising on and executing changes to entity structure
  • Implementing inter-company agreements
  • Assisting with local compliance requirements
• Support board agendas and materials; maintain records of meetings and corporate actions.
• Oversee an employee stock plan, including structuring, negotiating, and executing stock sale transactions.
• Lead deal execution for fundraising and M&A transactions.
• Manage an investment portfolio and lead deal execution for venture investments.
• Design legal and business processes that enable international scaling.

Requirements

• JD from a US-accredited law school.
• 5+ years of legal practice experience.
• Strong experience relevant to late-stage private business matters, including:
  • Advising on securities law compliance and corporate governance
  • Managing international subsidiaries
  • Structuring and negotiating financing, M&A, and other strategic transactions
  • Software integrations
  • Licensing (especially open source licenses)
  • Intellectual property
• Ability to handle multiple complex transactions simultaneously, including matters such as tender offers, fund formations, and public offerings.
• Demonstrated ability to work independently.
• Strong communication skills, including writing clear, concise, and informative documentation.
• Ability to explain complex topics clearly and find streamlined solutions.
• Enjoyment of open web principles.

Preferred Qualifications

• Breadth of experience outside the US.
• Agile, curious approach; willingness to ask questions and admit when incorrect.
• Business-minded and practical approach to problem-solving.

Compensation & Benefits

• Salary range: $180,000–$300,000 USD.
• Salary ranges are global, regardless of location, and compensation is paid in local currency.
• Pay may reflect the potential contribution and impact of the role, which may, in some cases, go beyond the range stated.
• Fully remote role with an open vacation policy.
